Got a business partner? Then a shareholder agreement isn’t something to leave for “later” - it’s one of those things you’ll be really glad you sorted early.

When things are going well, it can feel unnecessary. But it’s really about what happens when things don’t go to plan.

It helps set things out clearly, like:
• Who has what type of shares
• What happens if someone wants to leave or sell their shares
• Who are directors and who has the right to appoint and remove directors.
• What one business partner can do without needing the permission of the other and when it is needed.

It’s basically there to take the guesswork out of the awkward stuff - because in real life, businesses change. People’s goals change. Circumstances change.

And when that happens, having something written down means you’re not trying to figure it all out in the middle of a stressful situation.

Starting a business? One of the first big decisions you’ll make is choosing the right structure.

In NZ, your main options are usually:
• Sole trader - simple to set up, and you and the business are legally the same
• Partnership - shared ownership and responsibility between two or more people
• Company - a separate legal entity, which can offer more protection but comes with more structure and compliance

Each option comes with different responsibilities, tax considerations, and levels of personal risk - so it’s not just a box-ticking exercise.

Choosing the wrong structure early on can make things a bit messy later if you need to change it. It can mean extra costs, more admin, and in some cases, having to untangle contracts or ownership arrangements.

We’re proud to have contributed to the Kids Day Out Variety Show, helping bring an exciting, live show experience to children and families across New Zealand.

Our donation also supports Heart Kids NZ, the only national organisation providing lifelong care to children, young people, and families impacted by childhood heart conditions.

Organisations like these make a real difference - walking alongside families through some of their most challenging moments and providing support when it’s needed most.
