Alefco Properties CC v Continho and Others (Case No. 2026-048643)

We are pleased to share a successful outcome for our client in the High Court of South Africa, Gauteng Division, Johannesburg.

Our client sold a commercial shopping centre at auction on a voetstoots basis. The purchaser purported to cancel the sale on the grounds of fraudulent non-disclosure and misrepresentation, and applied to the High Court for an interdict to block transfer of the property pending action or arbitration.

The court dismissed the application in full, with costs. In doing so, Myburgh AJ found that: 1) A seller does not, merely by offering a developed property for sale, warrant that the buildings comply with approved plans or that an occupancy certificate exists. 2) The alleged defects were latent defects, and were therefore excluded by the voetstoots clause in the absence of proven fraud. 3) The purchaser had an adequate alternative remedy which defeated the case for an interdict.

In short, the balance of convenience favoured allowing the transaction to proceed.
