Joubert Galpin Searle's Director and Head of our Tax division, Jean-Roux van Huyssteen, recently presented to members of SAIPA - South African Institute of Professional Accountants on the practical impact of the Absa and Company AF judgments.

The discussion focused on a simple but increasingly important question: where does legitimate tax planning start to cross into GAAR risk?

Tax planning remains lawful. The difficulty is that it is no longer enough to look at each step in a transaction on its own. Advisers also need to consider what the arrangement achieves as a whole, whether the additional steps have real commercial substance, and what remains if the tax-driven features are stripped out.

One of the clearest warning signs is where a structure changes the tax result materially, but changes very little commercially.

The recent cases also show why the file matters. The commercial rationale, the alternatives considered and the advice obtained should be recorded at the time the transaction is entered into. Trying to reconstruct that explanation once SARS has raised the issue is a very different exercise.
