The “Whistleblower’s Act”, formally known as the Protected Disclosures Act, encourages employees to expose corruption, criminal activity and other wrongdoing in the workplace.

But what protections does the Act actually give whistleblowers? And what steps should employers and employees take to ensure they comply with it? We’ll answer all of these questions in the context of a recent Labour Court decision to reinstate a manager who was ostensibly fired for breaching ICT policies.

When a sale falls through, most people assume restitution means simply giving back the money and the property. A recent High Court decision shows it is rarely that straightforward, particularly if the property itself has changed in the interim.

The ruling explains how restoration costs should be worked out, and why the condition of the property when occupation begins can matter years later.

“Restitutio in Integrum”
An ancient Roman law remedy literally meaning "restoration to the original state", restitutio in integrum aims to restore people, as far as possible, to the position they would have been in if a wrongful act or transaction hadn’t occurred.

So, when a contract is rescinded, the aim is to return both parties to their pre-contract positions. If, for example, a seller sold you a defective car and the court cancelled the contract, the seller would have to return your money, and you would have to return the car. Likewise, when damages are awarded, the principle is to put you in the financial position you would have been in had the wrong not been committed. If therefore your car was written off in an accident caused by another driver's negligence, the damages awarded would generally compensate you for all your financial losses: the value of your vehicle, towing charges etc.

“Dormant Trust”
You will see and hear the phrase “dormant trust” bandied about a lot, normally in relation to what ongoing duties the trustees of non-active trusts do and don’t have.

Be warned that SARS says that there is no such legal concept as a “dormant trust” and that even economically inactive trusts (which SARS calls “passive trusts”) must be registered for tax, and must render annual tax and other returns, all under pain of stringent penalties for both non-compliant trusts and for their trustees personally. There is a small concession to inactive trusts in that their tax returns are “shortened” and “simplified”.

Bottom line? No trusts are “dormant”, and none are exempted from ongoing tax and other compliance duties.

A tenant may be in clear breach of a lease, but that does not guarantee a successful eviction.

A recent High Court judgment shows how an unclear cancellation notice and a failure to follow the correct legal process can derail an otherwise strong case, leaving landlords with an expensive lesson in the importance of getting the basics right.

Most buyers treat a deposit as a show of good faith. The law treats it very differently. When a sale collapses because of a buyer's breach, that deposit may be lost entirely.

The Conventional Penalties Act offers limited relief, but the threshold for court intervention is high. A recent case, in which the buyer lost the full R1.725 million deposit, illustrates just how high that threshold can be.

We all know that a comprehensive estate plan, with a carefully crafted will at its heart, is essential to ensure that we’re on track to leave our loved ones financially secure. And that of course requires us to quantify not only our assets, but also the costs that our estate will have to pay out of those assets before any distribution can find its way to our heirs.

In assessing those costs, don’t forget the tax angle – the taxman gets his cut in death as in life! In this article, we’ll focus on a cost that can be substantial but is easily overlooked: Capital Gains Tax (CGT). We’ll even show you how to calculate the estate’s likely CGT.
