Stepping down from a board position doesn't necessarily end your legal exposure.
The 2024 amendments to Section 162 of the Companies Act introduced a five-year look-back period, allowing applications for director delinquency or probation to be brought against former directors. In certain circumstances, courts may even extend this period where good cause exists.
The message is clear: accountability doesn't end when your term does.
