LEGAL SERVICES MANAGER
REPORTS: GENERAL COUNSEL
LOCATION: SANDTON

EXPERIENCE AND QUALIFICATIONS
• LLB degree
• In depth knowledge of Corporate Law/ Commercial Law/ Advanced Tax/ Advanced Finance/ Structured project finance/Asset Management/Public Finance Law
• Admitted Attorney or Advocate
• Exposure / experience with legal principles and rules pertaining to BEE transactions / private equity / project finance/venture capital/rural and agriculture finance
• At least 7 years post Admission experience
• Working knowledge of financial principles
• Working knowledge of King IV and corporate governance

POSITION OUTPUTS
• Monitor identified activities with the organization to ensure that the company complies with corporate governance rules and regulations
• Provide legal input in structuring transactions to ensure that the transactions are cost effective and protect the organisation
• Identify and analyze existing and new processes to conform to regulatory requirements and take necessary steps to deal with non-compliance

On a Sunday whilst everyone is enjoying and relaxing, I am at work and I started here very early in the morning before going to church, this is not life I must confess. Be that as it may, it feels good because with thorough preparation, including but not limited to substantial legal research before attending to any case, no matter how simple and straightforward it may seem, always pay huge dividends.

There is time for everything, there is time to rest and take time off, but there is also time to work and sweat whether it’s a so called resting and/ or relaxation time. We attorneys and/or Legal representatives we dealing with people’ lives and their sensitive huge cases which mean the whole world to them, it’s clients’ lives, so there is no room for mistakes or being slack on such matters. We chose this fraternity knowing quite well that it will yield these consequences. But I must submit Law is good and enjoyable especially if one does not limit him or herself to decided cases only, wanting at all times to follow and comply with them and never abuse an opportunity to create new law. Circumstances change, times change, more importantly cases should mainly or mostly be decided based, inter alia, on specific facts and their own surrounding circumstances, as well as following dictates of common sense. Therefore there is no reason why a case (which later on became law itself, if you know what I mean) that was decided donkey years ago, even if for that matter it was just decided recently, if it was addressing specific surrounding circumstances and dealing with or addressing specific risks and facts at that time, why would another case not be decided differently if circumstances/ facts/ risks being addressed are different, why it won’t then be decided differently and not being bound by a principle of stare decisis. Lawyers should always look for and grab opportunities to create new laws,singasoloko sihamba ngomgca wempuku qho.

In Law One Cannot extend and/or renew or breath life into or resurrect an INVALID contract.

Extract from the City Press dated the 2nd of February 2017 and I quote:

"... the Constitutional Court declared the contract with Cash Paymaster Services (CPS), the service provider that pays out social grants, invalid.

The contract was later extended to the end of March this year to give the social security agency time to prepare for new tenders or other options for these payments.

On Wednesday, the agency admitted to Parliament’s portfolio committee on social development that it would not be ready to take over the distribution on April 1, and would have no choice but to seek an extension of the invalid contract.

Sassa earlier admitted that it had underestimated the time it would need for this “mammoth” task..."

The highest court of the land (SA that is) declares (a) contract between SASSA and the service provider, namely Cash Paymaster Services (CPS) invalid. According to South African Law an invalid contract is a "void contract." A void contract is null from the moment it's (it was) created and neither party (herein SASSA and CPS) is bound by its terms thereof. No court of law can recognize such a contract, such a contract cannot be legally enforced; it has no legal consequences; it does not breed any contractual rights or obligations. Such a contract fails to meet some (or all) essential elements of a valid contract.

Now SASSA will spend thousands and approach the same Con Court which declared the aforesaid contract invalid to extend it. Our tax money is soon gonna be wasted.

(The) Con Court granted the aforesaid judgement in 2014. I assume that before the then tender was granted to CPS relevant legislative or regulatory GOVN procurement process was followed, if this was the case as it's supposed to be hereof, then this simply means that a legal drafter (who is remunerated handsomely and whose bank account is well fed and looked after or pampered) for the whole 2 YEARS nogal failed to simply craft a new contract which complies with all elements or essentiales of a valid contract.

Why should the tendering process be attended to start de novo beats my reasoning, or am I missing something here? Or the tender process itself was flawed or unlawful as is always the case with the GOVN. Please 4give my ignorance for I did not peruse the said Con Crt judgment, silly me.

I'm highly flabbergasted!

I wonder who is this legal adviser who is remunerated so handsomely who gives such a crap legal advice!!

Don't make a blunder or a mistake that will make you regret for the rest of your life, by entering into a business or any type of "monetary" relationship without a written contract which spells both contractual rights and obligations unambiguously and in clear terms thereto.

Don't cut and paste any contract similar to your state of affairs without consulting experts in drafting of commercial contracts who would ensure that all your interests are well looked after and all types of risks are dealt or attended to. Either limiting these risks or eliminating them in toto, a good drafter will know how to draft specific clauses ensuring that all risks are well attended to, such clauses as - limitation of liability clause; exclusion of liability clause; patent rights clause; Etc.

Don't sign any contract without reading all the fine prints, remember that that signature can cost you millions, in law they say Caveat Subscriptor- simply translated - He who signs is presumed to have read all its terms and conditions - whoever signs a contract is bound by all its terms and conditions.

Don't agree about anything after a contract is signed and fail to incorporate same into the original or main signed contract.

Don't be in a rush, a few days' delay in signing and/or entering into a binding contractual relationship, in order to speak and seek legal contractual advice from an attorney who is vexed in same, will save you from future unnecessary legal expenses, depression and loosing all your gains.
