7.2 Survival of Confidentiality Obligations: Notwithstanding the expiration of the term of this Agreement, its termination, or its cancellation for any reason whatsoever, the confidentiality, non-disclosure, and restriction obligations imposed on the "Receiving Party" under this Agreement shall survive, remain in effect, and be legally binding for a period of [e.g., three / five years] commencing from the date of expiration or termination of the Agreement.
7.3 Trade Secrets & Source Code Exception: Notwithstanding Clause (7.2) above, the Parties acknowledge and agree that "Confidential Information" which by its nature constitutes essential trade secrets (Trade Secrets), source code (Source Code), software algorithms, or unannounced intellectual property data, shall remain subject to the obligations of confidentiality and non-disclosure indefinitely without time limitation, and shall remain protected as long as such data and components retain their confidential character and have not entered the public domain through no breach by the Receiving Party.

9.3 Judicial Compensation & Costs: Seeking injunctive orders under Clause (9.2) shall not preclude the Disclosing Party's right to claim full and adequate compensation before competent courts for all material and moral damages, direct losses, and loss of profits arising from the breach, in addition to recovering all costs, expenses, and attorney fees incurred as a result of such breach.

(AI for GRC - Ex*****on):

⚖️ Legal Commentary: Non-Traditional Trademarks and the Strategic Advantage of 3D Mark Protection

In recent decades, global trademark jurisprudence has undergone a major transformation. Legal frameworks have expanded beyond traditional identifiers—such as wordmarks, logos, and symbols—to encompass Non-Traditional Trademarks, with Three-Dimensional (3D) Trademarks taking center stage.

As markets become increasingly saturated, product packaging and distinct structural designs (such as the iconic Coca-Cola contour bottle or the unique shape of M&M's) have evolved into primary indicators of commercial origin and vital drivers of brand equity.

📋 Statutory Requirements for 3D Trademark Registration

To successfully register a product design or packaging as a 3D trademark, national and international IP offices enforce stringent statutory criteria:

Inherent Distinctiveness: The 3D shape must be capable of identifying the commercial source independently, without relying on accompanying wordmarks or textual logos.

Acquired Distinctiveness (Secondary Meaning): In jurisdictions such as China and several civil law systems, proof that the shape has acquired secondary meaning through extensive commercial use and market recognition is often required.

Non-Functionality Doctrine: The shape must not be purely functional or dictated solely by technical results or the essential nature of the goods.

It is worth noting that Yemeni Law No. 23 of 2010 on Trademarks aligns with these international standards, offering a statutory definition broad enough to protect 3D shapes and product containers provided they possess distinctiveness.

🔍 Strategic IP Choice: Industrial Design vs. 3D Trademark

A recurring strategic question among corporate brand owners is: Why seek trademark protection for a product design when Industrial Design law already provides dedicated protection?

The distinction lies in the duration and renewability of the legal monopoly:

⏱️ Industrial Designs: Under Article 26(3) of the TRIPS Agreement, protection is granted for a finite term (typically 10 to 15 years depending on national law) and is non-renewable upon expiration, after which the design enters the public domain.

♾️ 3D Trademarks: Under Article 18 of the TRIPS Agreement, trademark registrations grant exclusive rights that are indefinitely renewable (in standard 7 or 10-year terms) for as long as the mark remains in use and renewal fees are maintained.

- Strategic Recommendation for Brand Owners

We advise corporate leaders and brand strategists to leverage modern statutory mechanisms by pursuing 3D trademark registration for their core product designs alongside or in preference to industrial design patents. Securing 3D trademark protection converts a temporary aesthetic design into an enduring corporate asset, legally shielded against infringement and unfair competition indefinitely.

Wavy Baby)

(Industrial Designs).
