Last week, our regional team came together in the heart of Bangkok, with colleagues from across our 4 offices joining for a few days of exploring, connecting and enjoying time outside the office.

We explored vibrant Bangkok, experienced more of Thai culture and traditions, shared plenty of good food and, perhaps most importantly, had the chance to slow down, and get to know the people behind the names we see on emails and Teams every day.

🌏 With teams across Vietnam, Singapore, and Malaysia, cross-border collaboration is central to how we support our clients. Strong relationships between our teams are equally important, helping us share knowledge, understand different market perspectives, and operate seamlessly as one regional business.

In Vietnam M&A, reaching agreement on price is only one part of the transaction.

How should risks identified during due diligence be allocated?

🔸The investment case is broadening, with opportunities emerging across domestic consumption, manufacturing and supply chains, infrastructure, logistics and fragmented sectors.

🔎 Key transaction issues require careful consideration. These include merger control and competition, UBO disclosure & AML, offshore taxation and enforcement, as well as the interaction between complex transaction documentation and Vietnamese regulatory requirements.

🧲 What makes a deal attractive can differ between buyers. Reported EBITDA may need to be normalised for items such as owner remuneration, non-recurring expenses and related-party arrangements to better reflect the underlying economics of the business.

🗣️ Together with Mr. Reuben Lee, Regional Transactional Liability Lead at QBE Insurance Singapore, and with Ms. Natalie Fairlie as moderator, we also explored common risks and practical challenges when evaluating and executing transactions in Vietnam. A valuation gap does not necessarily prevent a transaction. Deal structure can sometimes bridge differences in price expectations while allocating risk between buyer and seller.

Under Vietnam's new “ERC-first, IRC-later” approach, the answer can be yes, but the timing and purpose of the capital contribution matter.

Effective 18 August 2026, Circular 38 allows a foreign-invested company to open a direct investment capital account and receive charter capital after obtaining its Enterprise Registration Certificate (ERC), before the Investment Registration Certificate (IRC) is issued.

𝗩𝗶𝗲𝘁𝗻𝗮𝗺 𝗣𝗜𝗧 𝗖𝗼𝗺𝗽𝗹𝗶𝗮𝗻𝗰𝗲: 𝗪𝗵𝘆 𝗘𝗺𝗽𝗹𝗼𝘆𝗲𝗿𝘀 𝗦𝗵𝗼𝘂𝗹𝗱 𝗦𝘁𝗶𝗹𝗹 𝗙𝗶𝗹𝗲 𝗶𝗻 “𝗡𝗶𝗹” 𝗪𝗶𝘁𝗵𝗵𝗼𝗹𝗱𝗶𝗻𝗴 𝗣𝗲𝗿𝗶𝗼𝗱𝘀

Under Vietnam’s current PIT rules, an employer generally does not have to submit a monthly or quarterly PIT return for a period in which no withholding arises.

The exemption is legitimate. But for businesses with active payroll, the practical question is whether relying on that exemption is always the most sensible compliance approach.

Payroll does not stop being a tax record simply because no withholding arises in a particular month. Changes to salary, bonuses, deductions or dependent registrations can affect the underlying PIT position and may need to be reconciled later.

𝗧𝗵𝗶𝘀 𝗶𝘀 𝘄𝗵𝗲𝗿𝗲 𝗲𝗺𝗽𝗹𝗼𝘆𝗲𝗿𝘀 𝘀𝗵𝗼𝘂𝗹𝗱 𝗽𝗮𝘆 𝗮𝘁𝘁𝗲𝗻𝘁𝗶𝗼𝗻:
▪️ Payroll adjustments can change the withholding position for an earlier period
▪️ Employee deductions, dependent registrations and bonus timing can affect PIT calculations
▪️ Unfiled periods may require additional reconciliation when preparing annual PIT finalisation
▪️ Payroll, PIT and employee records should remain consistent across the company’s compliance records
▪️ A nil-filing exemption does not remove the need to maintain supporting payroll and tax records

Under Decree No. 252/2026/ND-CP, effective from 1 July 2026, the general nil-filing exemption is retained. However, a PIT return is still required for the final period of the year and certain periods involving corporate restructuring or cessation, even where no withholding arises.

A supplier being placed on the tax authority's blacklist can raise immediate concerns about the deductibility of expenses for Corporate Income Tax (CIT) purposes, input VAT claims, and potential tax penalties.

🎦 According to Ms. Phung Nguyen, Accounting & Tax Partner at Alitium, the outcome of a tax review often depends not on whether a supplier has been blacklisted, but on whether a business can demonstrate that the underlying transaction genuinely took place.

A genuine transaction alone may not be sufficient during a tax audit. Businesses should also be able to substantiate the transaction through appropriate supporting documentation.

Maintaining contracts, invoices, payment records and other contemporaneous evidence can significantly strengthen a business's position if a supplier is subsequently placed on the tax authority's blacklist or where the deductibility of expenses and input VAT claims are subject to review.
