THUẾ TNCN 2025: NHỮNG THAY ĐỔI ĐÁNG CHÚ Ý ĐỐI VỚI GIAO DỊCH M&A
Luật Thuế TNCN 2025 sắp có hiệu lực với nhiều thay đổi đáng chú ý đối với hoạt động chuyển nhượng vốn và chuyển nhượng chứng khoán, từ phương pháp tính thuế, cơ sở xác định giá vốn đến trách nhiệm khai và nộp thuế. Những quy định mới này có thể ảnh hưởng trực tiếp đến cấu trúc giao dịch, phân bổ rủi ro và công tác chuẩn bị hồ sơ trong các thương vụ M&A tại Việt Nam.
Trong bối cảnh đó, việc rà soát hồ sơ, chuẩn hóa dữ liệu phục vụ xác định giá vốn và thực hiện thẩm định thuế từ sớm sẽ trở nên quan trọng hơn bao giờ hết. Đây là những bước cần thiết để các bên đánh giá chính xác nghĩa vụ thuế, phân bổ rủi ro hợp lý và bảo đảm tiến độ thực hiện giao dịch.

2025 PERSONAL INCOME TAX LAW: KEY CHANGES FOR M&A TRANSACTIONS
The 2025 Personal Income Tax Law introduces notable changes to the taxation of capital transfers and securities transfers, including revisions to tax calculation methods, cost basis determination, and tax filing and payment obligations. These developments may have a direct impact on transaction structuring, risk allocation, and deal preparation in M&A transactions in Vietnam.
Against this backdrop, businesses and investors should consider reviewing transaction records, organizing supporting documentation for cost basis determination, and conducting tax due diligence at an early stage. These measures can help parties accurately assess potential tax liabilities, allocate risks appropriately, and facilitate a smoother transaction process.

Đây là khoản vay hợp vốn quốc tế đầu tiên của EQuest, được thu xếp bởi Standard Chartered Bank và CTBC Bank với sự tham gia của một nhóm gồm chín tổ chức tài chính quốc tế. Giao dịch nhận được sự quan tâm lớn từ thị trường và được đăng ký vượt mức (oversubscribed).
Khoản vay được thực hiện nhằm hỗ trợ EQuest chuẩn bị cho giai đoạn tăng trưởng tiếp theo, tiếp tục mở rộng và phát triển hệ sinh thái giáo dục của mình tại Việt Nam.

LNT & PARTNERS ADVISES EQUEST ON US$115.5 MILLION INTERNATIONAL SYNDICATED LOAN FACILITY
LNT & Partners, working alongside White & Case LLP, is proud to have advised EQuest Education Group in connection with its US$115.5 million international syndicated loan facility, with LNT & Partners acting as Vietnam counsel on the transaction.
The facility represents EQuest's inaugural international syndicated financing and was arranged by Standard Chartered Bank and CTBC Bank, with participation from a syndicate of nine international financial institutions. The financing attracted strong lender interest and was oversubscribed.
The financing was undertaken to support EQuest's next phase of growth and the continued expansion and development of its education ecosystem in Vietnam.
The transaction reflects continued international lender appetite for high-growth education platforms in Vietnam and highlights the increasing sophistication of Vietnam-related financing transactions.
The transaction was led by Mr. Bui Ngoc Hong (Partner) and Mr. Le Thanh Cong (Senior Associate), with support from Mr. Ngo Dinh Thien (Associate), Ms. Nguyen Tran Hai Yen (Associate), Ms. Vu Mai Nhu Huynh, Ms. Nguyen Dieu Linh and Ms. Van Le Thanh Thao.

ỦY BAN CẠNH TRANH QUỐC GIA SIẾT CHẶT QUẢN LÝ SỐ: 03 RỦI RO DOANH NGHIỆP CẦN RÀ SOÁT NGAY
Hàng loạt quyết định xử phạt vi phạm hành chính vừa được ban hành theo Luật Bảo vệ quyền lợi người tiêu dùng 2023. Dù giá trị chế tài không lớn, đây là tín hiệu cho thấy cơ quan quản lý bắt đầu tổng kiểm tra toàn diện môi trường số.
Các doanh nghiệp thương mại điện tử, fintech và tiếp thị trực tuyến cần đặc biệt lưu ý 03 lỗ hổng tuân thủ:
• Cơ chế thu thập dữ liệu: Nghiêm cấm việc "tick sẵn" (pre-ticked box) hộp thoại đồng ý nhận quảng cáo.
• Minh bạch KOL/KOC: Bắt buộc công khai mối quan hệ tài trợ ; doanh nghiệp nhãn hàng phải chịu trách nhiệm liên đới nếu nội dung vi phạm.
• Điều khoản giao dịch: Loại bỏ các điều khoản đơn phương áp đặt hoặc hạn chế quyền khiếu nại của khách hàng.
Chủ động rà soát hệ thống là chìa khóa để phòng ngừa rủi ro pháp lý lúc này.

Recent administrative penalties under the 2023 Law on Protection of Consumers’ Rights signal a major regulatory shift: authority is officially tightening scrutiny over digital interfaces and corporate workflows.
E-commerce platforms, fintech entities, and digital marketers must immediately bridge 03 compliance gaps:
