Vietnam is shifting its approach to corporate distress, from liquidation to rehabilitation.

The newly adopted Law on Rehabilitation and Bankruptcy 2025, effective 1 March 2026, introduces a legal framework that places corporate recovery at the centre of insolvency proceedings, marking a significant evolution from the previous bankruptcy regime.

Among the notable reforms:
• Introduction of early rehabilitation procedures for businesses at risk of insolvency
• Expedited rehabilitation and bankruptcy processes with significantly shorter timelines
• Expanded categories of creditors and stakeholders entitled to initiate proceedings
• Recognition of potential State support measures during rehabilitation
• Greater use of electronic procedures in insolvency cases

The new law signals a shift toward earlier intervention, structured recovery, and more proactive financial governance for enterprises operating in Vietnam.

Through a private placement of 15 million shares, HCT became the strategic investor and controlling shareholder, acquiring over 75% of PTD’s charter capital. The transaction enabled PTD to raise approximately VND150 billion, strengthening its financial position and supporting future growth.

Are condotel buyers in Vietnam actually getting “long-term ownership”?

This question was at the center of the discussion at the 9th Hospitality Vietnam Conference , where our Managing Partner - Mr. Dang The Duc joined industry leaders as a panelist earlier this week.

The conference brought together over 300 participants from 200+ companies across 12 countries, including developers, investors, hotel operators and advisory firms active in Vietnam’s hospitality sector.

During the panel, Mr. Đức highlighted a key legal misconception still seen in many projects:

Condotel and branded residence units do not automatically receive perpetual residential ownership.

Under the Land Law 2024, they are generally classified as tourism accommodation works on commercial-service land, meaning ownership is tied to the project’s land-use term (typically 50 years, extendable) rather than indefinite residential rights.

For developers and investors, this distinction directly affects:
- Project structuring
- Financing and collateral value
- Investor expectations and exit strategies

As Vietnam’s hospitality market continues to attract international capital, clear legal structuring is becoming a critical factor in project viability and investor confidence.

From 𝟭 𝗔𝗽𝗿𝗶𝗹 𝟮𝟬𝟮𝟲, Vietnam’s IP regime will change how AI-driven, digital, and software-based value is protected.

Under the new law, companies that fail to clearly document AI–human creation workflows may face disputes over IP ownership, even where development was fully funded in-house.
