Legalserco Vietnam Advises on Successful Acquisition and Lease Transaction of Ten Airbus A321 Aircraft.

Hanoi, Vietnam – Legalserco Vietnam LLC is pleased to announce that it has successfully advised a client on the acquisition and subsequent leasing of a portfolio of ten (10) Airbus A321CEO-231 aircraft (the “Transaction”).

The aircraft were originally acquired in 2012–2013 with an aggregate original purchase price of approximately USD 695,092,627.67. The Transaction represents a complex cross-border aviation deal involving multiple jurisdictions, sophisticated contractual structures, and coordination among leading international stakeholders.

LNG Power projects in Vietnam – Legal update November, 2025.
Các dự án điện LNG tại Việt Nam – Cập nhật pháp lý tháng 11 năm 2025. (Tiếng Việt dưới đây).

On October 14, 2025, investors of LNG power projects in Vietnam has sent to National Assembly, Government and Ministries of Vietnam, other Stakeholders a Proposal (Ref.: 01/KT-LNG; 15 Pages) to amend and supplement Article 9 – Specific mechanism for development of gas power projects using domestic gas and imported liquefied natural gas (LNG) in the draft of Resolution on mechanisms and policies to remove difficulties in national energy development in the period of 2026–2030. Appendix 1 specifies SUMMARY OF 11 ISSUES AFFECTING THE BANKABILITY OF LNG POWER PROJECTS IN VIETNAM.

Key Recommendations of the Proposal are:
• Supplement mechanisms to ensure stable LNG fuel supply and allow pass-through of fuel cost fluctuations.
• Apply tariff adjustment mechanisms based on exchange rate and LNG price movements to secure the target IRR.
• Establish government guarantee mechanisms (sovereign support), including foreign exchange, capital convertibility, and contract termination compensation.
• Allow international arbitration and lenders’ step-in rights to meet international bankability standards.
• Provide a clear transitional roadmap for projects approved prior to the issuance of Circular No. 12/2022/TT-BCT.
Investors in LNG power projects reaffirm their commitment to long-term investment in Vietnam, in full compliance with Vietnamese laws, ensuring timely progress and operational efficiency. They are dedicated to contributing to Vietnam’s economic development. The above proposals are both essential and practical to enhance the feasibility of financing arrangements and to ensure the overall bankability of the projects.

Ngày 14 tháng 10 năm 2025, các nhà đầu tư của các dự án điện LNG tại Việt Nam đã gửi tới Quốc hội, Chính phủ, các Bộ của Việt Nam và các bên liên quan khác một Văn bản Kiến nghị (Số tham chiếu: 01/KT-LNG, gồm 15 trang) về việc sửa đổi và bổ sung Điều 9 – Cơ chế đặc thù cho phát triển các dự án điện khí sử dụng khí trong nước và khí thiên nhiên hóa lỏng (LNG) nhập khẩu trong Dự thảo Nghị quyết về cơ chế, chính sách nhằm tháo gỡ khó khăn trong phát triển năng lượng quốc gia giai đoạn 2026–2030.
Phụ lục 1 của Văn bản này nêu rõ TÓM TẮT 11 VẤN ĐỀ ẢNH HƯỞNG ĐẾN TÍNH BANKABILITY CỦA CÁC DỰ ÁN ĐIỆN LNG TẠI VIỆT NAM.

Các khuyến nghị chính của Kiến nghị gồm:
• Bổ sung cơ chế bảo đảm cung cấp LNG đầu vào ổn định và cho phép cơ chế pass-through biến động chi phí nhiên liệu.
• Áp dụng cơ chế điều chỉnh biểu giá điện theo biến động tỷ giá và giá LNG nhằm bảo đảm tỷ suất lợi nhuận nội bộ (IRR) mục tiêu.
• Thiết lập các cơ chế bảo lãnh của Chính phủ (sovereign support), bao gồm chuyển đổi ngoại tệ, luân chuyển vốn và bồi thường khi chấm dứt hợp đồng.
• Cho phép áp dụng trọng tài quốc tế và quyền can thiệp (step-in rights) của bên cho vay nhằm đáp ứng các chuẩn mực bankability quốc tế.
• Ban hành lộ trình chuyển tiếp rõ ràng cho các dự án đã được phê duyệt trước khi Thông tư số 12/2022/TT-BCT có hiệu lực.

Các nhà đầu tư trong các dự án điện LNG tái khẳng định cam kết đầu tư dài hạn tại Việt Nam, tuân thủ đầy đủ các quy định của pháp luật Việt Nam, bảo đảm tiến độ và hiệu quả vận hành của dự án. Họ mong muốn đóng góp tích cực vào sự phát triển kinh tế của Việt Nam. Các kiến nghị nêu trên mang tính thiết thực và cần thiết nhằm tăng cường tính khả thi trong việc thu xếp tài chính, đồng thời bảo đảm tính khả thi tài chính (bankability) tổng thể của các dự án.

I was delighted to attend the 38th LAWASIA Conference (The Law Association for Asia and the Pacific) held in Hanoi, Vietnam (11-13 October 2025), which gathered over 600 legal professionals, policymakers, and thought leaders from 40 countries across the region.

• Construction Start: December 2010 | Commercial Operation: Since April 2015.
• Total Investment: USD 2.1 billion | Annual Output: ~7.6 billion kWh.
• Status: As of March 31, 2025, the project is classified as a “held-for-sale” asset, with a loan receivable of USD 934 million.
• M&A Transaction: In November 2023, AES reached an agreement to sell its 51% stake to Se.ven Global Investments (Czech Republic), pending approval from the Vietnamese Government.
2. Van Phong 1 BOT Thermal Power Plant Project
• Investor: Sumitomo Corporation (Japan).
• Total Investment: USD 2.58 billion | Profit: Estimated at trillions of VND annually.
• M&A Transaction: In early May 2025, Sumitomo announced its plan to transfer a 50% stake in Van Phong Power Company Limited (VPCL), the project owner.
• Status: Awaiting regulatory approval; buyer and transaction value not disclosed | Expected Completion: Within Sumitomo’s FY2026.

• Giao dịch M&A: Tháng 11/2023, AES đạt thỏa thuận bán 51% cổ phần cho Se.ven Global Investments (CH Séc), đang chờ phê duyệt từ Chính phủ Việt Nam.
2. Dự án Nhiệt điện BOT Vân Phong 1
• Chủ đầu tư: Sumitomo (Nhật Bản).
• Tổng vốn đầu tư: 2,58 tỷ USD | Lợi nhuận: Nghìn tỷ đồng/năm.
• Giao dịch M&A: Đầu 5/2025, Sumitomo thông báo sẽ chuyển nhượng 50% vốn tại Công ty TNHH Điện lực Vân Phong (chủ đầu tư dự án).
• Tình trạng: Đang chờ phê duyệt, chưa công bố bên mua và giá trị giao dịch | Dự kiến hoàn tất: Trong năm tài khóa 2026 của Sumitomo.

BSR RECEIVED THE FEED DESIGN DOCUMENTS FOR THE DUNG QUAT OIL REFINERY UPGRADE AND EXPANSION (DQRE) PROJECT.

BSR NHẬN BÀN GIAO HỒ SƠ THIẾT KẾ FEED DỰ ÁN NÂNG CẤP MỞ RỘNG NHÀ MÁY LỌC DẦU DUNG QUẤT (DQRE).

On May 3, 2025, in Thailand, the Dung Quat Oil Refinery Upgrading and Expansion Project Management Board (DQRE) - a branch of Binh Son Refining and Petrochemical Company (BSR) received the revised overall technical design documents/Front - End Engineering Design (FEED) and the total construction estimate of the project from the contractor Foster Wheeler (Thailand) Limited (belonging to Wood Group, UK).

The Dung Quat Oil Refinery Upgrading and Expansion Project (adjusted version) has a total new investment capital of more than 1.2 Billion USD.

Ngày 3/5/2025, tại Thái Lan, Ban Quản lý Dự án Nâng cấp mở rộng Nhà máy lọc dầu Dung Quất (DQRE) - Chi nhánh trực thuộc Công ty Lọc hóa dầu Bình Sơn (BSR) đã nhận bàn giao Hồ sơ thiết kế kỹ thuật tổng thể điều chỉnh (FEED) và tổng dự toán xây dựng công trình dự án từ nhà thầu Foster Wheeler (Thailand) Limited (thuộc tập đoàn Wood, Anh Quốc).

Dự án Nâng cấp mở rộng Nhà máy Lọc dầu Dung Quất (phiên bản điều chỉnh) có tổng vốn đầu tư mới là hơn 1,2 tỷ USD.

CẬP NHẬT DỰ ÁN NÂNG CẤP, MỞ RỘNG NHÀ MÁY LỌC DẦU DUNG QUẤT (DQRE) ĐẾN NGÀY 15/4/2025.
Key Components:
- Front-End Engineering Design (FEED): 91.5% completed as of mid-April 2025.
- Basic Engineering Design Package (BEDP): Initial versions for several process units have been released for review and feedback by BSR and WOOD.
- Overall Cost Estimate: Contractor WOOD has completed the overall cost estimation and issued request-for-quotation letters.
- Quantitative Risk Assessment (QRA): Submitted to the Ministry of Industry and Trade for appraisal and approval, and reported to the Vietnam National Energy and Industry Group.
Progress & Key Milestones in 2025:
- Appraisal and approval of the FEED design.
- Approval of the EPC bidding documents.
- Selection of the EPC contractor.
- Site leveling and preparation work.
