VIETNAM’S EPR REGIME ENTERS THE IMPLEMENTATION STAGE: KEY COMPLIANCE CONSIDERATIONS FOR BUSINESSES

Nearly three months after Decree No. 110/2026/ND-CP (“Decree 110”) entered into force, Vietnam’s Extended Producer Responsibility (EPR) regime has entered its implementation phase. As businesses move from understanding the new framework to operational compliance, attention is shifting from legislative reform to the practical challenges of implementation. Against this backdrop, broader amendments to Vietnam’s environmental legislation currently under consideration suggest that environmental compliance will continue to evolve in the coming years.

To facilitate this transition, Decree 110, issued on 1 April 2026 and effective from 25 May 2026, consolidates and clarifies Vietnam’s EPR framework, building upon the EPR framework established under the Law on Environmental Protection (LEP) 2020 and its implementing regulations. Rather than introducing a new obligation, Decree 110 completes the existing legal framework by clarifying the mechanism for managing and disbursing funds collected to support waste collection, recycling, and treatment activities – an area that had remained underdeveloped in earlier regulations. Decree 110 also revises compliance timelines: businesses may now discharge their financial contribution obligations by 31 March of the following year, rather than within the same calendar year as previously required, with declarations due on the national EPR system before 1 April and payment to the Vietnam Environmental Protection Fund due before 20 April each year.

DECREE NO. 287/2026/ND-CP: A KEY FINANCIAL BUILDING BLOCK IN VIETNAM’S FRAMEWORK FOR STATE-REPRESENTED COPYRIGHT AND RELATED RIGHTS

The Government of Vietnam recently issued Decree No. 287/2026/ND-CP dated 17 July 2026, which will take effect on 1 September 2026 and consolidate the royalty regimes applicable to cinematography, fine arts, photography, performing arts, press and publishing. Although the legal basis for the State to act as the representative of the owner of, or as the representative responsible for managing, certain copyright and related rights had already been established under Vietnam’s intellectual property framework, the Decree further develops the financial framework governing the exploitation and use of those rights.

TRADEMARKS IN M&A TRANSACTIONS: WHY LEGAL DUE DILIGENCE MATTERS?

In mergers and acquisitions ("M&A") transactions, a trademark is not merely a sign used to distinguish goods or services but also a valuable intellectual property asset with significant commercial value. For businesses operating in sectors such as consumer goods, retail, food and beverages, pharmaceuticals, technology or services, a trademark may constitute one of the most valuable assets acquired by the purchaser. Accordingly, the value of an M&A transaction lies not only in the target company's tangible assets, technology, or existing revenue streams, but also in the goodwill, brand recognition, and customer loyalty associated with its trademarks.

PRE-IRC DICA OPENING, NO HURDLES ANYMORE

The Direct Investment Capital Account (“DICA”), has now been renamed under Circular No. 38/2026/TT-NHNN (“Circular 38”) as the “foreign investment capital account in Vietnam” (the “investment capital account”). It takes effect as from August 18, 2026.

Following recent changes to Vietnam’s investment procedures allowing a foreign investor to establish an economic entity (“NewCo”) before obtaining an Investment Registration Certificate (“IRC”), Circular 38 introduces a corresponding foreign exchange mechanism permitting the newly established NewCo to open an investment capital account before the IRC is issued.

DARK PATTERNS IN PRIVACY CONSENT INTERFACES: VIETNAMESE PERSONAL DATA PROTECTION PERSPECTIVE

“Dark patterns”, or deceptive design patterns, are interfaces and experiences that lead users into making unintended, unwilling, and potentially harmful decisions regarding the processing of their personal data (Guidelines 3/2022 on Dark patterns in social media platform interfaces by The European Data Protection Board). They are designed to influence users’ behavior and may hinder users from effectively protecting their personal data or making conscious choices.

In practice, dark patterns may appear in different forms in privacy consent interfaces used by digital platforms in Vietnam. For example, users may be presented with a prominent “Accept all” button, while the option to reject cookies or tracking is less visible, or only available after several additional clicks. Some platforms may pre-select consent boxes for marketing communications, personalized advertising, or data sharing with partners, leaving users to actively opt out if they do not agree. Dark patterns may also arise after consent has been given, where users can create an account or agree to data processing easily, but face a complicated or unclear process when they wish to withdraw consent, delete their account, or change privacy settings. These practices are problematic because they make the personal data subject’s consent look valid on the surface, while in reality, their choice may be manipulated, uninformed, or unnecessarily difficult to exercise.

VIETNAM’S NEW CARBON CREDIT REGULATIONS: FROM LEGAL FRAMEWORK TO MARKET OPERATION

On 29 June 2026, Vietnam officially launched its emission trading system (ETS) at the Hanoi Stock Exchange, with the first greenhouse gas (“GHG”) emission allowance code identified as VN2025. The launch marks an important milestone in Vietnam’s carbon market roadmap, signaling that the country’s carbon market is moving from policy design and institutional preparation toward actual market operation. According to the State Securities Commission, the legal framework, technological infrastructure, operating procedures and inter-agency coordination mechanisms had been prepared to support the official launch and operation of the domestic carbon exchange.

This paper provides an update on the key legal developments shaping Vietnam’s carbon credit framework. It focuses on four main areas: first, the amended framework under Decree 06/2022/ND-CP for GHG emission mitigation, carbon credit creation, offsetting and the national registry system; second, the domestic carbon exchange under Decree 29/2026/ND-CP; third, the international transfer regime under Decree 112/2026/ND-CP; and fourth, the new regulatory framework for forest carbon credits under Decree 180/2026/ND-CP.
