This keeps popping up when we receive out of state process directed to the NY SOS so let’s clear it up.

If you look at the New York Division of Corporations page on serving process, it seems delightfully simple: pay the fee, follow the rules, serve the entity. Easy, right?

Not quite. There is a glorious statutory "gotcha" hidden in the fine print.

While the site implies you can serve any entity authorized to do business in NY, the Secretary of State has strict boundaries.

New York law limits this privilege strictly to "PROCESS"
—which it defines as proceedings venued “in this state or in the federal courts sitting in, or for, this state.”

The Reality Check:
• "This State" Means New York. ONLY New York:

If your lawsuit is based anywhere else—California, Florida, Delaware, Mars—the NY SOS will gladly reject your papers.

• The Outcome: Attorneys breeze past thiscryptic phrasing every day, resulting in rejected service, aggravation, redirecting the process, possible deadline crashes and don’t forget the sudden spikes in blood pressure.
