Real estate syndications and private equity raises are not “plug and play.”

We’re seeing more sponsors rely on AI search tools, generic online templates, or syndication platform documents to structure deals. The problem? Most of those tools don’t understand your actual business, your investors, your securities law exposure, or the long-term risks tied to your offering.

Every syndication is different:
• Different investor relationships
• Different compensation structures

📸 3 Pillars Law at the Russell Rippetoe Memorial Golf Tournament 🇺🇸⛳

This past Saturday, members of the 3 Pillars Law team proudly participated in the Russell Rippetoe Memorial Golf Tournament, honoring the legacy of Army Capt. Russell B. Rippetoe, who gave his life in service to our nation on April 4, 2003.

CPT Rippetoe, a Colorado native who grew up in Arvada and graduated from Broomfield High School, joined the U.S. Army in 1999. A Ranger with the 3rd Battalion, 75th Ranger Regiment out of Fort Benning, GA, he served with Special Forces in Afghanistan and was killed in Iraq at just 27 years old when a car bomb detonated at a checkpoint near Baghdad.

We’re honored to have teed off in memory of his sacrifice and the continued service of our nation’s heroes. 🇺🇸

Raising private capital to invest in real estate?
Here’s the real sequence — and the legal support you’ll need to do it right:
1. You find the deal.
You’re ready to scale — but you can’t fund it alone.
2. You decide to raise capital.
Now you’re in securities law territory. It’s not just a handshake anymore.
3. You choose your exemption (506(b) or 506(c)).
This determines who you can raise from — and how you can talk about the deal.
4. You form your investment entity.
This includes your manager/GP structure and investor class.
5. You issue legal docs.
Think: PPM, operating agreement, subscription agreement, investor questionnaires.
6. You raise the capital.
You collect funds only after the docs are signed.
7. You file Form D and Blue Sky notices.
Required for compliance — and commonly overlooked.
8. You close the deal.
But the legal work isn’t over: you still have reporting, compliance, and investor relations to manage.
