Arnold & Porter represented Cognizant (NASDAQ: CTSH) in its proposed acquisition of Belcan, LLC, for consideration totaling approximately $1.3 billion, subject to customary adjustments, in the form of cash and stock. The parties expect the deal to close in the third quarter of 2024, subject to regulatory approvals and other closing conditions.

Join us in welcoming Matthew Micheli back to Arnold & Porter. Micheli has rejoined the firm as a partner in our Bankruptcy and Restructuring practice, resident in Chicago. His arrival builds upon the Chicago office’s continued growth, which in the last five years has added 16 new partners and counsel, including the promotion of three partners, and now consists of over 50 attorneys.

A former senior associate at the firm, Micheli has broad experience across a range of complex restructurings, debt financing, and distressed M&A matters. He also has first-chair experience on both lender-side and company-side engagements at various levels in the capital structure through out-of-court restructurings and in chapter 11 restructurings across the U.S. In addition, he spent several years as a corporate executive and draws on those years of business and operational experience to advise his clients.

Stop Food Waste Day is a global awareness day dedicated to reducing food waste through education and action.
