Legal Tip for MSPs: CMMC Phase 2 goes live November 10, 2026.

If you serve clients in the defense supply chain, or clients who serve them, your contracts need to reflect what you've actually agreed to deliver on compliance.

Three things that paper should do:

• Define your scope of compliance services, so a client can't assume you're covering more than you are.
• Limit your liability if a client fails a CMMC assessment for reasons outside your control.
• Spell out what happens to the engagement if a client loses their certification.

When our attorneys review these agreements, most are missing all three. The work kept moving. The paper didn't. The regulation doesn't care.

November isn't far. Better to get your paper current now than the first time a client asks you about it.

An MSP drafted his MSA with Claude. Hours of prompting. It looked, in his words, "pretty professional."

Our attorney scored it. 36%. Level 0: Unprotected.

Claude nailed the easy clauses. Liability cap, warranty disclaimer, deemed acceptance, attorneys' fees.

It had no idea what was missing. No cyber insurance requirement. No ransomware clause. No enforceable early termination fee. The protections you only know to add after you've watched them fail in a real MSP dispute.

The document reads like a lawyer wrote it. It just doesn't do what a lawyer's would when a client pushes back.

That gap is where the liability lives.
