Some of the most mind-bending and creatively rewarding work we've done this past year concerns decentralized corporate governance structures and the ins and outs of tokenization of corporate ownership and decision-making. Blockchain-based currency may succeed or fail on the whims of governments,, but blockchain-based corporate governance has so many advantages over classical governance that it is here to stay.

Only one American state has embraced decentralized companies at this early stage, and after half a year, their system seems to be functioning as designed. Here's a quick intro to the Wyoming DAO LLC, including its requirements, advantages, and drawbacks.

The Wyoming Decentralized Autonomous Organization LLC, Explained The most interesting legal issues we worked on in 2021 related to blockchain technology and the development of the various legal and regulatory frameworks created to respond to its massive growth. Crypto players have rapidly moved th

Almost every week, we get a serious question about ESG. What is it, why do investors and governments want more of it, what's the process for making a company ESG-certified, and how does it add value to a company? We've got a few answers for you in this article. Enjoy, and contact us if you would like to discuss your own ESG issues.

Just a few days ago, a client told us his Board gave him two months to “get this company on the ESG train, but I don’t even know where to buy a ticket!” It’s a familiar question, and every week or two, a client or prospect asks us something about ESG. The concept is certainly one of the hott...

Last month, the US Securities and Exchange Commission announced that it would consider changes to two rules passed in the last days of the Trump administration – one a reduction in the maximum award available to successful whistle blowers, and the other a change in the way oil, gas, and mining companies must disclose payments made to foreign governments.

The WSJ published a good piece about these new developments here: https://www.wsj.com/articles/sec-considers-changes-to-trump-era-rules-11623705091

We are grateful to have had the ability to help several Burmese clients leave the country for safer conditions and to work on crisis issues for another clients still in Myanmar, though we wish we had the resources to help the many more who are desperate to escape the country. We encourage anyone stuck in a politically dangerous situation to learn what resources exist to help, and to take advantage of them wherever possible. Here is a list of a number of those resources:

1) International Legal Assistance Consortium

ILAC is an international non-governmental organization. Which works to strengthen the rule of law, empower legal professionals and to ensure equal access to justice for all where people’s justice needs are the greatest – in conflict, crisis or transitions to democracy.

2) UNHCR – also known as “U.N. Refugee Agency”

UNHCR helps people fleeing their home under duress to help them get asylum in other countries.

The UNHCR definition of a refugee is someone who:

"owing to well-founded fear of being persecuted for reasons of race, religion, nationality, membership of a particular social group or political opinion, is outside the country of his nationality and is unable or, owing to such fear, is unwilling to avail himself of the protection of that country; or who, not having a nationality and being outside the country of his former habitual residence, is unable or, owing to such fear, is unwilling to return to it."

UNHRC provides advocacy, asylum help, and in cases of internally displaced peoples they provide education, economic inclusion, and public health. If you are seeking these services contact.

3) International Organization For Migration

IOM’s office in Bangkok is the regional headquarters as Thailand is an important part of the migration ecosystem in the region. IOM works with vulnerable individuals in preparation for departure and when they arrive to a destination. They do medical checkups and documents check for vulnerable individuals pre-trip and post-trip. They also manage migrant camps of displaced peoples. Below is their contact if you or your family fits within their scope of work.

The Guide To A Dual Listing On The OTC Markets > The United States capital markets offer a tremendous opportunity for growth and expansion to startup companies as well as long established companies and especially for international companies that hope to gain access to the American investor capital. The traditional method of gaining access for an international company is via a customary Securities and Exchange Commission (“SEC”) listing or exemption, but this process can be costly and duplicative because of the nature of U.S. securities laws and regulations. There is one exciting alternative, however, that allows an international company gain access to the U.S. capital market by listing on while expending a fraction of the cost of traditional method, that is a dual listing on the OTC which is a fully electronic interdealer quotation system affording investors and broker-dealers access through online and full-service brokerage firms in the U.S.

“BAD NEWS FOR THE ECONOMY IS GOOD FOR THE STOCK MARKET,” Says the Wall Street Journal

> On July 4th, 2021, the Wall Street Journal wrote “bad news for the economy is good news for the stock market.” A little bit absolutist, perhaps, but it’s important to understand differing perspectives from the usual perception of how the stock market works. In many cases, the statement is correct, though too much bad news for too long a time is generally bad for everyone except the most savvy hedgers and short players.

When economies start to go bad, people all over the world put money into the ‘safest’ markets, like highly-regulated U.S. public companies with complete and transparent information disclosures. When GDP is down, the U.S. Federal Reserve works to make money available at low rates, providing plenty of liquidity for private equity groups, acquisition-minded companies, and retail investors, all of whom continue to buoy the value of U.S. listed companies even when the economy slows down.

At Feinstein Law, we believe strong transparencies provide the foundation for well-functioning capital market, and smart investment decisions are based on comprehensive information disclosures that give investors the confidence to support a company.
