The Fourth Circuit recently upheld a $63,000 attorney fee award to Willoughby Humphrey & D'Antoni, PA against defendants in a securities class action who repeatedly tried – and failed – to move the case from state court to federal court. The court ruled that once jurisdiction had been decided, the defendants’ repeated removal attempts were objectively unreasonable and simply drove up costs for the plaintiffs. The decision reinforces that plaintiffs have the right to structure their cases for state court when the law allows, and that defendants who ignore those boundaries risk significant financial penalties.

WHD serves as class counsel in Black v. Mantei & Associates, Ltd., which concerns the sale of retail structured products to South Carolina investors over 50 years old. Our clients filed their case in state court. When the defendants removed under SLUSA (the Securities Litigation Uniform Standards Act), the plaintiffs clarified that their claims extend only to securities not covered by SLUSA, which removed any basis for federal jurisdiction. The district court then remanded. In doing so, the court explained that disputes over whether a given product is a covered security do not create federal jurisdiction.

Three years later, the defendants removed again, arguing that their disagreement with an expert’s categorization of certain notes as non-covered securities created federal jurisdiction. The district court remanded again. Because the court had rejected the defendants’ basis for removal in its first order remanding the case, the court awarded plaintiffs $63,007.50 in attorneys’ fees and costs under 28 USC § 1447(c). Defendants appealed, and the Fourth Circuit affirmed in a published opinion.

Fourth Circuit's Key Holdings:

*Well-Pleaded Complaint Rule: SLUSA preclusion is determined solely by complaint allegations, not post-pleading expert testimony
*Strategic Pleading Rights: Plaintiffs can use legally binding amendments to exclude covered securities and avoid federal jurisdiction
*Sanctions Standard: Multiple removals on previously rejected grounds constitute objectively unreasonable conduct
*Statutory Interpretation: Section 1447(d) prohibits reconsideration of a remand order through re-removal, just as it bars motions for reconsideration

This ruling strengthens the deterrent effect of § 1447(c) sanctions and provides clearer boundaries for removal in securities litigation. The court’s analysis provides important guidance on the intersection of SLUSA, federal question jurisdiction, and removal sanctions.

WHD’s Jake Johnson presented on the House settlement, the Saving College Sports executive order, and the SCORE Act at last night’s annual Stanley Feldman sports law CLE hosted by the Charleston County Bar. Jake has assisted athletes and teams with NIL and other matters. With that experience, he shared his view on where these issues stand, where they seem to be going, and how to best resolve them.

The CLE was held at the Charleston RiverDogs, who beat the Hickory Crawdads 2-1. Walker Humphrey and Margaret O'Shields joined for a night of CLE credit and baseball.

We are pleased to announce that our firm has secured a complete victory for the City of Myrtle Beach in the United States Court of Appeals for the Fourth Circuit.

In Brady v. City of Myrtle Beach, the Court rejected claims brought by several bar owners and a landlord alleging that the City sought to shut down minority-owned and minority-patronized businesses through selective and discriminatory enforcement actions. The Court unanimously held that the City's actions instead were reasonable responses to documented patterns of violent crime and other illegal activity in the area known as "the Superblock."

Our partner Walker Humphrey successfully argued that the City acted within its lawful authority to address significant public safety concerns. As Judge Wilkinson wrote in the opinion "[t]hese decisions fall squarely within the City's democratic prerogative. Like many beach towns, Myrtle Beach must navigate the tension between being a destination for late-night entertainment and a home for those who seek safety and quiet. Where to strike that balance is a policy judgment that the Constitution entrusts to local officials—not federal courts."

This ruling represents an important precedent supporting municipalities' authority to protect public safety and enforce local ordinances. We are proud to have helped the City of Myrtle Beach maintain its commitment to creating a safe environment for residents and visitors alike.

Rice School of Law at the annual Compleat Lawyer awards. Mitchell Willoughby, Class of 1975, was a Platinum Recipient for 2024 in recognition of his professional and civic accomplishments. Krista graduated from Kent State University in 2015 with a Bachelor’s of Applied Science in Paralegal Studies. Before joining Willoughby Humphrey & D'Antoni , she worked for nine years as a legal assistant and paralegal for personal injury and bankruptcy firms, and for GEICO's staff counsel. Krista also has worked as an EEO Investigator for NEEISO, investigating discrimination claims against government agencies.
