There are several reasons why a contract or portions of it may be deemed unenforceable and there is no one size fits all answer to this question. 🤨

In general however, a legally binding contract must have the following 3 elements:

1) Offer - A specified offer to do (or not do) something must be made. (I.e. Bob offers to sell you his vehicle in exchange for $10k). ☑️
2) Acceptance - A showing that the offer made was accepted by the other party. An agreement to be bound by the terms. (I.e. you sign the contest agreeing to purchase Bob’s car for $10k). ☑️
3) Consideration - The benefit of the bargain that each party to the contract gets from the agreement. (I.e. Bob gets 10k and you get the vehicle). ☑️
Although contract law is complicated and several factors will come into play to determine the enforceability of the specific contract in question (I.e verbal or written, competency of the parties, etc.) the above three basic factors are a good place to start and will come up in every contract dispute. 📄🖊

Let’s talk about diluting your business by ‘doing too much.’ 🙀

I see this most often come up in the following 3 ways:

1. Not having a defined business model/target clientele - It may be tempting to take on as many clients as possible, even those outside the scope of your business model. This will do more harm than good in the long run. You will find your business is less defined and therefore less marketable to your target clientele. You may be spread too thin & your business will often suffer as a result.  
2. Trying to grow too fast - Work on and master your trade/product until it is perfected before branching out into other areas. I often see business owners who begin with a niche get pulled into the temptation of quickly adding other services/products to make a quick buck. Quality over quantity is the key for long term success.
3. Ignoring your gut instinct - Often times business owners will ignore their gut instinct about a potential client because they either: (1) want more clients or, (2) want to help someone in need. If you get an “off” feeling about a client right off the bat, do not ignore that feeling, even if it means potentially turning away a client or someone in need.  I can say from experience that each time I have ignored my gut feeling, I have come to regret it. Chances are your gut is right and the potential strain on your business will have you wishing you had listened.

In summary: Create a clear business plan/model and define your ideal clientele. Do not try to grow too fast. Master your craft and become the best you can at it before expanding into other things. And lastly, always trust your gut. 😎😌

When starting a business, it is not uncommon that new business owners just want to get as many clients as they possibly can. Sound familiar? 😬

But, identifying your ideal clientele early on will save you a lot of headache in the long run. By identifying who your ideal client is and avoiding taking on clients that do not fit that mold, you are defining the scope of your business which is key for long term success. 💰💸

By taking on clients who may not have the budget for your services/product, whose goals do not line up with your products/services, or whose personality simply does not mesh with your company’s vision, you are creating future stress and discontent. Most importantly, you are diluting your brand. (More about this in my next post). 🥴🥴

So, who is your ideal client?

First, what is the product/service you are offering? Almost every product/service is designed to help people solve a problem or to add to the quality of that person’s life. What is the ‘problem’ and does your product/service solve it? ✅

Second, what is their budget? What do they spend their money on? Especially for service-based businesses, it is not uncommon that you just want to help someone who may not have the means to keep up with your services. While noble, this often causes a lot of discontent in the long run and plainly, you can’t help everyone. 💰

Do you mesh well with your client? We have all gotten “bad vibes” from people in the past. Through experience, I have learned it is almost always a bad idea to override your gut. If it feels “off”, it probably is. Stop being “too nice.” 😇😉

Identify who your ideal client is & stop taking on business that does not line up with those goals for the sake of getting more clients/sales or being too nice. 💥🤯

Let’s play the name game 🎯

What is a fictitious name and does your business need one ⁉️🤨

A fictitious name, also known as a DBA (doing business as) or a Trade Name is only necessary if you are operating under a name that differs from your legal name. 🤓

For example if your company is registered as Heather Smith, LLC but you market and promote your business as “Heather Smith Designs” you should obtain a fictitious business name. ☑️☑️

Although obtaining a DBA does not give you the exclusive rights to a business name nor does it operate the same as an actual corporate or LLC filing with the ACC, it is an added layer of protection and a step you should consider taking if you are doing business under a name that differs from the registered name of your business entity. 😌📄
