New reporting requirements are being finalized in connection with the Corporate Transparency Act. Most private, domestic U.S. and , and persons forming entities will have to file a Beneficial Ownership Information (BOI) report.

Those with control or ownership interest in a business entity will have to self-report U.S. Treasury's Financial Crimes Enforcement Network ( ) about themselves, the entity's beneficial owners, and the individuals authorized to act on its behalf.

Attorneys Craig Hardwick and Thomas Zeigler explain some of the features of the regulations and the BOI report to help and officers prepare and navigate this new federal requirement. Link in the comments.

ICYMI Theodore Bacon provides the latest update on 's changing legal landscape surrounding the enforceability of arbitration agreements. In response to the divided panel's ruling, the US Chamber of Commerce has requested a rehearing with the full 9th Circuit panel. An injunction preventing AB 51 enforcement has been reinstated while the Chamber's petition is being considered.
