Understanding Gift Tax Changes in 2025
The Tax Cuts and Jobs Act of 2017 introduced a significant, temporary benefit for taxpayers. This law more than doubled the amount individuals could gift or bequeath without incurring federal gift or estate taxes, with the exemption adjusted annually for inflation.

In 2024, a single taxpayer can claim a $13.61 million exemption on lifetime gifts or estates. For married couples, this amount doubles, offering substantial tax savings. However, this window of opportunity is set to close at the end of 2025. At that point, the exemption will revert to its pre-2017 level—an estimated $7 million per individual, adjusted for inflation.

The United States Court of Appeals for the Fifth Circuit (the "Fifth Circuit") ruled on December 26, 2024, to once again delay the Corporate Transparency Act's ("CTA") reporting requirements. The CTA was passed by Congress in 2020 as a component of the Anti-Money Laundering Act. Congress pointed out that state law typically exempts businesses from disclosing information on their "beneficial owners," or the people who ultimately run the businesses. Article 66402(2) of the National Defense Authorization Act of 2021, Pub. L. No. 116-283. As a result, Congress concluded that "malign actors" can "conceal their ownership of corporations" and exploit such essentially faceless corporations for "serious tax fraud," "money laundering," and "terrorism financing." FinCEN Seeks Stay of Corporate Transparency Act Preliminary Injunction
Current information as of December 13, 2024, the government moved to delay the preliminary injunction while it appealed on December 12, 2024. The government moved to stay the preliminary injunction, and the plaintiffs were given until December 16, 2024, to reply. How soon the district court will decide on that motion is unknown.

FinCEN has responded to the injunction by confirming that reporting firms are not now obligated to file BOI with FinCEN and that they will not be held liable for failure to do so as long as the injunction is in place. Reporting businesses may still voluntarily submit BOI in spite of the order, according to FinCEN. The administration seems determined to maintain the preliminary injunction, as seen by its move to stay it.

An Overview of the Most Important CTA Terminology

Reporting Company includes most entities formed in or registered to do business in the United States. However, the act also creates numerous exemptions, which exclude specific categories of entities (as described below). Entities within one of these exemptions are not required to file Beneficial Ownership Information (BOI) reports under the CTA.

-Any person who (i) owns 25% or more of a reporting firm or (ii) has "substantial control" over a reporting company is considered a Beneficial Owner.

-An individual who files an entity's formation documents directly with the appropriate state or tribal body is known as a company applicant. If multiple people are involved in the filing, the company applicant is principally in charge of overseeing or managing the filing.

-Most organizations established or registered to conduct business in the United States are considered reporting companies.
