The National Society of Compliance Professionals is the leading non-profit membership organization dedicated to supporting regulatory professionals in the financial services industry.

Mrs. Mendelson is Of Counsel to Clyde Snow's Regulatory Practice Group which offers a legal advice and regulatory services to registered investment advisers, private funds, broker-dealers, money service transmitters, and investors.

Clyde Snow's expertise includes private fund formation and private placement memorandums; entity structuring advice; licensing and registration services; federal and state securities advice; regulatory examination and investigation representation; industry employment and ownership agreement drafting; and expert witness services. Mr. Lowe represents local and national clients on a wide range of issues, including commercial litigation, labor & employment law, and contractual issues. He specializes in commercial litigation, including contract disputes, general business disputes, trade secrets litigation, and administrative disputes. Mr. Lowe also counsels clients in employment matters, including employee handbooks, compliance and other important employment issues, as well as litigating employment disputes. Mr. Lowe advises clients in contractual matters, including guiding clients through construction and real property deals worth hundreds of millions of dollars. With each matter, whether in litigation or forming contracts, Mr. Lowe thinks creatively to assure his clients’ interests are protected. Mr. Lowe has extensive experience litigating matters in both state and federal courts and before both district and appellate courts, including litigating several novel issues before federal courts that set precedents in Utah law.

Brian Lebrecht represents company clients primarily in the areas of corporate finance (including private placements, public offerings, and Securities and Exchange Commission and blue sky compliance), public company disclosure (including ’33 Act registrations and ’34 Act reporting requirements), and mergers and acquisitions (including asset and stock purchases and restructurings). He also represents individual directors, and boards of directors, with respect to corporate governance, fiduciary duties, internal investigations, and risk management. Aaron Lebenta is named among Utah Business Magazine’s Legal Elite in business litigation and recognized by Mountain States Super Lawyers, Mr. Lebenta has fifteen years of experience in civil litigation, appellate work, and defense of government enforcement actions, including actions affecting professional licensure. His civil litigation practice currently focuses on representing clients in state, federal, and appellate courts in business and commercial disputes, real property and water rights matters including right-of-way and interference claims, contract disputes, corporate governance disputes, and private actions for securities fraud and other securities violations. In his government enforcement practice, Mr. Lebenta defends clients in white collar criminal proceedings and civil proceedings involving regulatory violations and licensing disputes commenced by state and federal government agencies, including the U.S. Securities and Exchange Commission, the Utah Department of Professional Licensing, and prosecution offices.

Mr. Lebenta has achieved numerous favorable resolutions for his clients through settlement, by winning judgment in his clients’ favor at the trial court level, and by defending judgments or reversing an adverse judgment on appeal. Prior to joining Clyde Snow, Mr. Lebenta served as a judicial law clerk to the Honorable Pamela Greenwood for the Utah Court of Appeals.

Victoria devotes her practice to representing businesses in employment related matters, both as an advisor and a litigator. She regularly advises companies on strategic matters involving employment policies, procedures, and practices, including wage and hour practices, discipline and terminations, bonus and other compensation plans, trade secret protection, independent contractor relationships and internal investigations.

In addition, Victoria has extensive experience defending clients in employment litigation alleging violations of the Fair Labor Standards Act, Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act, the Age Discrimination in Employment Act, and the Family and Medical Leave Act. She is dedicated to providing comprehensive, efficient legal services with an understanding for the practical considerations for her clients.

Mr. Bennett focuses his practice on representing individuals and solving problems in both the commercial and personal arenas. With respect to commercial clients, he is experienced in all aspects of tax, business, and estate planning. Specifically, Mr. Bennett works with people and local businesses in need of structuring assistance, business and personal planning, business formation issues, contracts, long- and short-term development plans, tax related issues and planning, and business exit strategies. He is also proficient in handling commercial leases and commercial finance issues, for both the lender and borrower. Mr. Bennett is very experienced in handling asset purchase and stock purchase acquisitions and sales, as well as real estate transactions. Mr. Bennett has been involved in various merger transactions involving businesses of all types, and in working with banking customers to develop new relationships and to move business accounts to new banking relationships.

Mr. Bennett assists a number of local community banks and other lenders with lending related needs including loan documentation, maintenance, and collection. This work regularly includes reviewing and, when necessary, documenting new loans and advising lenders on how to work through troubled debt with struggling borrowers.

With respect to planning for individuals, Mr. Bennett assists clients with their estate planning, estate taxation, wills and trusts, probate, and family disputes involving inheritance issues. With almost two decades of experience, Mr. Bennett has worked with clients on a multitude of estate types and has resolved numerous disputes involving estates and the heirs.
