Integrated General Counsel

Integrated General Counsel California business attorney. I partner with business owners to ensure that they have the proper pieces in place to operate on a solid legal foundation.

Integrated General Counsel assists business owners in two ways. We provide transactional services such as contract reviews, entity formation and dissolution, employment policies, and much more. These “routine” matters must be managed strategically to avoid problems down the road – and with nearly two decades of experience representing businesses in their legal matters, I am able to provide my busi

ness clients with the clear-minded and time-tested direction that they need. We also provide outsourced general counsel services for businesses and organizations that require regular legal and strategic guidance from a business attorney – but don’t have the workload to add a full-time lawyer to their payroll. My background as in-house counsel for an international corporation gives me the perspective and the ability to create solid legal foundations which allow California businesses to thrive. Please contact me today to discuss how Integrated General Counsel can provide the “legal piece of mind” that your business needs.

A business can look polished from the outside and still have gaps in the file cabinet. It's a good idea to review your records regularly to make sure you've got signed client agreements, contractor IP assignments, founder ownership documents, and up-to-date employment policies. Those folders tend to decide who gets paid, who owns the work, and how much cleanup lands on your desk later. Our free report walks through the legal gaps business owners tend to spot late.

Service contracts should track how the work actually happens, not how everyone hopes it will happen. Here are a few items to make sure you have in place:

- A deposit before work starts.
- Milestone billing tied to deliverables.
- Written approval for add-ons.
- Late fee language.
- A clause that allows you to pause work after missed payment.

That combination gives the client a clear roadmap and gives your team a cleaner path to revenue.

Handshake deals fail for the same reason that a lot of marriages do. People who like and trust each other often assume that they are on the same page, only to find out later that they had very different goals and expectatons. Over time, the scope of work shifts or payments don't arrive on time or assets get managed improperly, and nobody has recourse to a written agreement that might settle the dispute. Contact IGC to protect yourself by formalizing the agreements you rely on to run your business.

Copyright and trademark solve different problems.

Copyrights protect the content you created. Think photos, videos, copy, design, software.
Trademarks protect the brand that customers associate with your business. Think name, logo, slogan.

If a company launches a new brand and a new website in the same week, it may need both forms of protection. Getting that in place now can be a lot cheaper than having to reprint packaging, kill a campaign, or get caught up in an expensive intellectual property dispute.

Many payment fights trace back to unclear scope, open-ended revisions, or a due date buried in a random paragraph. Three contract lines can save a service business from months of chasing after unpaid invoices:

- What is included in the scope of work to be performed.
- What triggers an extra fee.
- The conditions under which work will cease, e.g. in the case of nonpayment.

Recent research points out that California has far more restrictive regulatory language than many states, and new businesses can struggle under that weight. That’s exactly why founders need clean formation documents, clear ownership terms, and a real plan for compliance in place early to keep them out of trouble. Contact IGC for help.
