Esteban J. Elias has more than 20 years of experience representing clients in complex corporate transactions involving the U.S. and Latin America. He serves as a bridge between Latin American clients and U.S. legal, financial, and regulatory systems, helping companies, investors, funds, and family offices enter and expand in the U.S. market. His practice includes mergers and acquisitions, venture capital and growth financings, joint ventures, cross-border investments, and corporate reorganizations. A Chilean native who brings both U.S. and Latin American business perspectives to his work, Esteban serves as Head of the firm’s Latin America Practice.
Michaela Kluska assists businesses and corporate clients with mergers and acquisitions, business formation, entity selection, commercial contracts, and corporate governance matters. She supports transactions throughout the full deal lifecycle, including due diligence, disclosure schedules, key transaction agreements, closings, and post-closing obligations. Her work spans a range of industries, including healthcare, beauty and wellness, entertainment and sports, financial services, and biotech. Known for her responsiveness and attention to detail, Michaela works closely with clients to navigate complex corporate matters.
