A significant win for our client, and an important decision for the franchise community.
The U.S. District Court for the Southern District of Florida dismissed a franchisee’s claims against FisherZucker client MDR United, LLC and Joshua Hoffmann in their entirety, with prejudice.
At the center of the decision was something franchise systems rely on every day: the language in their agreements.
The Court enforced a broad contractual release covering claims arising from pre-release conduct, including unknown or unaccrued claims, while also addressing choice-of-law provisions, contractual limitations periods, and other key protections within the franchise relationship.
The result is a powerful reminder that careful drafting isn’t just about preparing for a deal. It’s about protecting the brand long after the documents are signed.
