Buying or selling a business in Omaha or elsewhere in Nebraska? The purchase price allocation can change what the seller keeps after tax and when the buyer can take deductions.

In a covered asset sale, buyer and seller allocate the price across IRS asset classes and generally report it on Form 8594. Equipment, inventory and goodwill can have different tax consequences. A written allocation generally binds both parties unless the IRS determines it is inappropriate.

Discuss allocation at the letter-of-intent (LOI) stage, before signing the final purchase agreement.

Before you sign, look closely at indemnification, termination, and dispute resolution. Those provisions can decide who pays when a third party makes a claim, how either side can exit, what that exit costs, and where a dispute must be handled.

You still own half on paper.

Nebraska LLC law runs through the operating agreement. A fight in the hallway does not rewrite that document. The holes in the agreement are what a court will actually read.
