Update on the Corporate Transparency Act: Now Limited to Foreign Companies

In a surprising twist, FinCEN announced late on March 21 that it will not enforce the CTA against any U.S. business or its beneficial owners—despite previously setting a March 21, 2025 deadline for filing the Beneficial Ownership Interest Report (BOIR).

Instead, enforcement now appears limited to foreign companies registered to do business in the U.S., along with their beneficial owners. FinCEN has issued an “interim final rule” with more details.
