Lambert & Shackman High Court Win

Lambert & Shackman PLLC recently secured an important win at the New York State Court of Appeals, the highest Court in New York State. The Decision has been described as “a major decision reshaping how commercial ‘good guy’ guaranties are interpreted.” National Law Review, October 31, 2025. A line of recent decisions at the Supreme Court and Appellate Division held that where a good guy guaranty conditions the guarantor’s release on the tenant’s surrender “pursuant to the terms of the lease” the limited guarantor is not released unless the landlord elects to sign a new writing accepting the tenant’s surrender. In 1995 CAM LLC v. West Side Advisors, LLC, 2025 N.Y. Lexis 1771, 2025 NY Slip Op. 05782 (2025), the Court of Appeals reversed the Decisions of the lower courts, holding that the good guy guarantor’s release was not conditioned on the landlord’s acceptance of the tenant’s surrender.
