Update Regarding New York State's Beneficial Ownership Information (BOI) Report Filing Requirement for Limited Liability Companies:

New York State ("NYS") decided NOT to require LLCs formed in the U.S. ("domestic LLCs") to file beneficial ownership reports ("Reports") in NYS. However, LLCs formed under the laws of a foreign country ("foreign LLCs") that become authorized to do business in NYS on or after January 1, 2026, will be required to file an initial Report or attestation of exemption in NYS within 30 days of authorization. Meanwhile, foreign LLCs that became authorized to do business in NYS prior to January 1, 2026, will need to file the Report or attestation of exemption in NYS by December 31, 2026.
