The round was four weeks from closing when one diligence question stopped it cold.

Who owns the code?

Not the company. The core product had been built two years earlier by a contractor working under a one page agreement with no IP assignment. He had long since moved on to another job, and he still owned the thing investors were about to fund.

So we traced ownership of every contribution, negotiated a retroactive assignment with him, put real agreements in place for everyone contributing going forward, and handed the investors clean IP representations.

$1.5M closed four weeks later.

Here is the part founders miss. Nobody notices this gap while you are building. It only shows up at the exact moment it can cost you the round.

A company that does not own its product is not selling equity. It is selling a lawsuit.

Most founders don't realize a single social post can jeopardize their exemption before the raise even opens.

Under 506(b), no general solicitation is allowed, only outreach to people you already have a substantive relationship with. Under 506(c), public solicitation is fine, but every investor must be verified as accredited, not just self-certified. Mixing the two approaches mid-raise can create integration problems that put the whole offering at risk. And even a vague "raising soon" post can count as solicitation.

Loop in counsel before you say anything publicly about your raise.
