- IP assignment: every deliverable transfers to the company
- Data handling: who sees customer or product data, and when breach notice goes out
- Liability cap: your exposure should not outrun the fee
- Termination: when, how, and under what circumstances

Net 30, milestone billing, and MSA + SOW structure are fair asks too. A short review now can spare a painful rewrite during diligence.
