One of the most common conversations we have with Gulf Coast business owners is this: they have been operating for a few years, things are going well, and they either never formed an LLC or formed one and have not looked at it since. The protection is real, but it depends entirely on how the entity is maintained. This carousel covers what actually puts that protection at risk and what to check right now.

What finally pushed you to form your LLC or review your structure?

Alabama just passed a consumer privacy law. It takes effect in May 2027 and carries penalties of up to $15,000 per violation.

The coverage threshold—businesses collecting data on more than 25,000 Alabama consumers per year, or earning more than 25 percent of their revenue from selling data on more than 10,000 consumers—is lower than any similar state law that came before it. That means more Gulf Coast businesses are covered than they might expect.

Compliance requires a privacy notice, a process for handling consumer data requests, updated vendor contracts, and a designated privacy contact. Alabama’s version skips the data protection impact assessment requirement, making it more manageable than other state laws.

The first step is figuring out whether it applies to you. Book a Risk-Free Strategy Session at outsidechieflegal.com.

A contract template gives you structure without substance. Missing payment terms, vague scope language, and provisions written for a different state are three of the places Gulf Coast business owners get caught most often.

Has a contract ever let you down when a dispute came up?

A consequential damages waiver sounds standard until a supplier failure costs you a major client and that clause blocks your biggest recovery. Venue provisions, indemnification language, and payment terms all look different when you have watched them play out before a judge. Outside Chief Legal still takes cases to court. That experience comes into every contract review we do for Gulf Coast businesses.

What is the one clause in your current contracts you have never actually had explained to you?

Most contract problems are not surprises. The terms were there the whole time, a scope clause too vague, a payment provision never added, or an agreement signed without close review.

What contract issue has cost your business the most time or money to sort out?

A lot of contract problems come from contracts that were never built for the business using them.

Five mistakes Gulf Coast business owners make. No payment terms. No definition of done. Agreeing to the other side's venue. Silence on attorney fees. Using a template built for someone else.

A lot of contract problems come from contracts that were never built for the business to use.

A contractor spent six months fighting over a $14,000 payment because the contract never defined what completed work meant. One rewrite would have prevented the entire dispute.

Most outside general counsel services are staffed by lawyers who stopped litigating years ago. At OCL, we still take cases to court. That experience informs every contract review, employment question, and vendor negotiation we handle. What legal situation most made you wish you had someone who already knew how it would play out?

That vendor contract you signed last year. That LLC you formed and never revisited. That person you have been paying as a contractor for two years.

Any one of them could be carrying more risk than you realize.

There are five gaps that tend to show up most often for Gulf Coast business owners, and they rarely surface until something goes wrong: an operating agreement that does not reflect the real deal; contracts that were never built for your business; an LLC that is not actually holding up; employment practices one misstep away from a penalty; and no one in the room before problems land.

One gap. One bad outcome. One expensive lesson.
