Buying or selling a company is often a once-in-a-lifetime event. Not all buyers and sellers are well-versed in the realm of mergers and acquisitions. Additionally, intermediaries sometimes rush transactions, overlooking important details that can leave sellers with significant tax bills or buyers without optimal value. These critical considerations are often addressed too late in the process, leaving limited options for damage control.
Structuring an M&A deal can feel overwhelming, especially with new tax laws that influence the value of companies being bought, sold, or transferred across the United States. Sellers must also think ahead and have a post-sale plan—whether it involves investing in a new venture, deferring taxes, or even eliminating them entirely.
In this session, Dr. Bart Basi, Attorney and CPA, will explore the latest tax provisions included in the new Big Beautiful Bill, as well as existing tax strategies that he employs in deals nationwide.
