Private equity is entering the legal space in a big way. They’re doing it through MSO agreements. The concept is simple.

You basically divide your law firm into two companies.

One company—the law firm—continues to employ the lawyers, maintain the client contracts, and do the legal work. This company is still owned by lawyers the same way law firms always have been.

The second company provides much of the support staff for the lawyers doing the legal work. This company controls:
• the paralegals
• HR and recruiting
• marketing
• IT
• accounting.

Private equity owns and operates this second company. The law firm then pays this company, which can be owned by non-lawyers, an MSO fee, which is either a set amount per month or a cost plus model.

On its face, this setup provides a lot of benefits to law firms owners. Private equity promises to alleviate many of the headaches associated with running a law firm, to allow the lawyers to focus on legal work, and to increase the multiples a law firm can sell for.

But in my opinion, this tradeoff is almost never worth it.

A law firm is only as good as its paralegals, assistants, hiring process, and culture. At least for us, the back of the house is the heart of of our law firm. It’s what makes our firm great.

I would never give up control over those aspects of our firm. Sure, it might make some things easier in the short run, but I don’t see how that division will make the firm stronger in the long run.
