In 2021, Congress passed The Corporate Transparency Act to increase transparency for businesses and prevent nefarious financial activities, including money laundering and the use of shell corporations to hide illegal activities. The CTA affects most businesses operating in the United States by requiring companies to report certain information about their owners and other individuals who have substantial control over the entity, such as a CEO or CFO. The U.S. Department of Treasury’s Financial Crimes Enforcement Network accepts beneficial ownership information reports. While there are twenty-three categories of exemptions for compliance with the CTA, the majority of our clients are not exempt and must file a beneficial ownership report.

All reporting companies must file a beneficial ownership report with FinCEN on or before January 1, 2025. Entities formed in 2025 or later must file a beneficial ownership report within 30 days of formation. Failure to file a beneficial ownership report before the deadline may result in substantial penalties. At this time, anyone who willfully violates the beneficial ownership information reporting requirements may be subject to civil penalties of up to $591 for each day of the continuing violation.
