ATTENTION MUST BE PAID!! New York’s Limited Liability Company Law (“LLC Law”) Section 206 requires limited liability companies to publish a notice of formation in newspapers within 120 days of establishment. Failure to comply with the LLC Law can cause a plaintiff to lack capacity to commence a lawsuit in court, permitting dismissal. LLC’s are required to comply with the LLC Law’s publication and filing requirements. It is strongly recommended to do so before commencing proceedings, but if proceedings have been commenced already, curing deficiencies with diligence will lower risks of dismissals.

Tenants properly evicted in failure to renew lease holdover proceedings in NYC may still be restored to possession
In 80 Varick St. Group, L.P. v. Lutz, 2026 NY Slip Op 50643(U), the Appellate Term, First Department permitted possible restoration to possession for a tenant evicted via a failure to renew lease holdover proceeding. The tenant had defaulted the entire proceeding; the eviction occurred; and the lower court “properly addressed the matter within the framework of applicable statutory requirements governing defaults and post-judgment relief.”

Nevertheless, based on the higher court’s “careful balancing of the equities”, it permitted the tenant to be restored to possession, provided the tenant paid all rent, use and occupancy, attorney and eviction fees due, and signed the renewal lease at issue. This decision was made, without a hearing, and without sending the matter back down to the NYC Housing Court to conduct a hearing first.

While the court cautioned its decision was based on “the specific facts presented,” certainly this case illustrates that a NYC residential, rent-stabilized tenant may still perhaps be conditionally restored to possession, after a complete inexcusable default of lease, law, and a proceeding.
