Quick Take: Long story short, the U.S. Supreme Court lifted one nationwide injunction blocking the Corporate Transparency Act (CTA), but another injunction issued by a different court remains in place and unaddressed. Fifth Circuit Reinstates BOI Filing Requirement (Due January 1, 2025).

Earlier today, on December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit reinstated the enforceability of the Corporate Transparency Act (CTA) by lifting a nationwide preliminary injunction issued earlier this month in Texas Top Cop Shop, Inc. v. Garland. This decision means the compliance deadline for reporting companies in existence as of January 1, 2024, is back in effect, requiring reporting companies to submit Beneficial Ownership Information (BOI) reports by January 1, 2025.

The decision, issued by a three-judge panel of the Fifth Circuit, underscores the evolving legal landscape surrounding the CTA. Other federal courts are currently considering related challenges, which could further impact the enforcement timeline. As of now, however, the January 1, 2025, deadline remains in effect.
