The U.S. Treasury’s Financial Crimes Enforcement Network (FinCEN) has finalized rules significantly narrowing beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act (CTA).

For most U.S formed entities, the Final Rule confirms that no BOI report is required. The primary compliance obligations now apply to foreign-formed entities registered to do business in the United States, which remain subject to reporting requirements for non-U.S. beneficial owners and, where applicable, non-U.S. company applicants.
