Starting a business? Don’t let the legal side be an afterthought.

There’s a lot more to building a solid foundation than registering an LLC and opening a bank account.

Depend depending on your business, your legal starter kit may include governing documents client contracts, website, policies, employment, or independent, contractor agreements, and vendor agreements.

You may not need every document on day one but you do want the right protections in place before a disagreement, unpaid invoice, employee issue or other problem forces you to think about them.

The goal isn’t paperwork for the sake of paperwork. It’s creating clear expectations, protecting what you’re building and giving your business room to grow.

Thinking about starting a business with a partner?

Whether it’s a friend, family member, spouse, or business colleague, there are important conversations to have before you go into business together.

As a business attorney, these are 5 things I would prioritize from the beginning: choosing the right business structure, clearly defining ownership and responsibilities, putting the right agreements in place, deciding how major decisions will be made, and planning for what happens if the partnership eventually ends.

Because it’s much easier to agree on the rules when everyone is getting along than to figure them out after a disagreement.

Spent the evening at the Ft. Lauderdale Tech Meetup at Nova Southeastern’s Center for Innovation, listening to Solon Angel, founder of Remitian, talk business and walked away with more than I expected.

A few lines that stuck with me:

1. Business is about being pragmatic
2. Giving money is the cheap way to do charity — if you have capital and knowledge, use it to create jobs
3. Be careful with PII
4. If everything is digitized, what’s left for humans is trust
5. The “Miami effect” humbles you — there’s always someone with bigger, better, more
6. Don’t buy the bs
7. Stay away from mediocrity — be in the 1% who does things differently
8. Be stupid. Don’t overthink. Don’t be the monkey who won’t touch the bananas (look it up, you’ll love it)

Florida just changed the rules for real estate investors — and most people haven’t heard about it yet.

A new legal tool called the Protected Series LLC is now available in Florida as of July 1, 2026.

If you own multiple investment properties, or you work with investors who do, swipe through to understand what changed and why it matters.

The short version: you may no longer need a separate LLC for every property. Florida now allows investors to create internal compartments inside a single entity — one per property — with separate liability walls between them.

But here’s the part most people miss; the protection is not automatic. It depends entirely on how the structure is set up and maintained from day one.

Your real estate investor clients just got access to a legal tool that did not exist in Florida until July 1, 2026.

A new legal tool called the Protected Series LLC is now available, and it has direct implications for the investors you work with.

Here's the short version.

Most investors who own multiple properties hold them under one LLC. What many don't realize is that a single liability claim at one property can potentially reach the equity in all the others under that same entity. If they are more sophisticated, they own each property in a separate LLC. That works, but it multiplies the administrative burden with every new property.

The Protected Series LLC can change that. Florida law now allows an investor to create internal compartments inside a single LLC, one per property. A liability tied to one property generally stays confined to that property's compartment. The others remain protected.

One entity. Multiple walls of protection.

There's an important caveat; the protection depends entirely on how the structure is set up and maintained from day one. It is not automatic.

If you work with investors who own multiple Florida properties, this is worth understanding. The right conversation at the right time can make a real difference for the people you serve.
