The Corporate Transparency Act (“CTA”) went into effect January 1, 2024. Under the CTA business owners must submit a Beneficial Ownership Information (“BOI”) Report to the U.S. Department of Treasury’s Financial Crimes Enforcement Network (“FinCEN”) to identify individuals associated with the reporting company.

This means that individuals owning at least 25% and individuals with a particular level of control over the company’s equity must submit identifying information to FinCEN or face civil and possibly criminal penalties.

The CTA is a product of FinCEN’s anti-money laundering efforts which ran ramped during the pandemic.

It is critical that your business files a timely BOI Report as it can be costly to fail to do so. There is a $500 a day penalty (up to $10,000.00) for those who willfully fail to comply.
