Public Service Announcement: FYI, the new Federal Corporate Transparency Act is active as of January 1, 2024 introducing key reporting requirements for businesses.
Starting January 1, 2024, this law requires businesses formed before this date to report to FinCEN – the Financial Crimes Enforcement Network of the U.S. Treasury Department. This report, due by January 1, 2025, should include details of anyone who owns or controls 25% or more of certain limited partnerships, LLCs, and corporations. Missing this deadline could lead to significant penalties, including daily fines of $500 and possible imprisonment.
For businesses formed on or after January 1, 2024, you must file your report within 30 days of establishment, including additional information about the company's applicant. Remember, any changes in the reported information require an amendment filing within 30 days to avoid penalties.
For a more detailed understanding, we highly encourage you to review FinCEN's FAQs at www.fincen.gov/boi-faqs.
Please note that this is a responsibility that lies directly with you as a business owner as our firm is not handling these reports on the company or owners' behalf.
