A small local restaurant got into a fight over its name with a national chain. The restaurant could not afford the fight and went out of business.

Scott remembers taking his boys there. The lesson stuck with him: you can be right about a lot of things and still not have the money to fight a giant company.

That is why we want to know what is under your name before it becomes valuable. Texas business owners: https://www.reiblaw.com/contact

A payment clause should say what amount is due, what makes it due and when. Those are three separate decisions. Scott Reib explains how to tie payment to an identifiable event. https://www.reiblaw.com/contact

Your business has recurring legal and filing deadlines. Give each one an owner.

A starting list: Texas franchise tax report, registered agent details, company agreement review, contract renewal and notice dates, insurance renewals.

Then build the system: one list, one owner per item, a reminder 30 days before each date, and an annual review with your attorney.

A Texas construction owner called Scott Reib while the sheriff was locking his equipment yard. He had been sued and never received the papers, so the court entered a default judgment.

The reason: his registered agent was a CPA he had stopped working with years earlier.

Keep your registered agent current, and give someone the job of checking it. Questions? https://www.reiblaw.com/contact

Seven questions to answer before you go 50/50 with a business partner:

1. What is each of us really putting in?
2. Who gets to decide what?
3. How and when does each of us get paid?
4. What does "all in" mean to each of us?
5. What happens when we're stuck?
6. What happens if one of us leaves, gets sick or dies?
7. Who owns the name, the clients and the ideas?

Then put the answers where they belong: your company agreement and a buy-sell agreement. Schedule a conversation: https://www.reiblaw.com/contact
