Under Michigan Law, piercing the corporate veil is when an individual shareholder will become liable for the debts or harm that imposed suffering to a 3rd party.

Meaning, the shareholder used the LLC or corporation as an instrument to fulfill their personal uses or business ventures. And as a result, a 3rd party suffered harm snd was injured.

There are three elements in order to pierce the corporate veil:
1) You must prove there was an injustice or fraud
2) You must provide there was an injury or haram, and:

A common law marriage exists whenever two people agree to cohabitate and present themselves as a married couple. Despite functioning as a married couple, a common law marriage is not recognized in Michigan.

What is Assault? And how is it different from Battery?

An Assault is an act done by Defendant that creates a reasonable apprehension or an attempted battery directed toward Plaintiff.

Reasonable apprehension is anything that can reasonably be seen as apprehension of harmful or offensive contact that is more than mere words. An attempted battery requires Defendant to have intended and attempted harmful or offensive contact but was unsuccessful, such as a “swing and a miss.”

Battery, however, requires an application of harmful or offensive contact done toward Plaintiff. Here, harmful is defined if it were to cause an actual injury, pain, or disfigurement. And offensive is defined by the standard of it being offensive to a reasonable person.
