Bell Nunnally Senior Associate Mason Jones and Summer Associate Genesis Paita authored a Texas Lawyer article examining in-house attorney immunity and the gray area between legal and business advice.

Their piece looks at In re Frank Jackson, a recent Texas Fifteenth Court of Appeals decision holding that attorney immunity protected an in-house general counsel from personal liability related to advice on terminating a company executive. Mason and Genesis note the decision appears to be the first Texas appellate ruling to expressly apply attorney immunity to an in-house general counsel.

The authors walk through the court's conduct-specific analysis, explaining that performing some nonlegal work doesn't strip immunity from separate conduct undertaken in a legal capacity — and that simply removing a legal title doesn't erase the underlying record showing counsel was acting in that role.

They conclude with practical guidance for in-house attorneys: document the legal nature of your advice, use titles and roles consistently, and clearly distinguish legal from business functions.
