⁉️QUESTION OF THE MONTH⁉️
What is a cognovit note? Are they enforceable in Ohio? 📃

A cognovit note is a type of promissory note or promise to repay a loan with special provisions. 💰The provisions generally mean that the debtor (the person who borrowed the money) can be sued and a judgment taken against him without his knowledge and without notice. 👩🏽‍⚖️ You read that correctly. ⚠️ If you sign a cognovit note with a confession of judgment and warrant of attorney, you authorize any attorney to enter an appearance in a lawsuit against you and confess judgment on your behalf‼️

So, you could have a judgment against you without even knowing about it. How? Because you consented when you signed the cognovit note. 📝 Before you sign loan documents, you should look for bold and ALL CAPS warnings above your signature. Beware ⛔️ And if in doubt, consult an attorney before signing documents! 👨‍💼

What is “at-will” employment?

At-will employment (the general rule in Ohio absent a contract or other exceptions) means that the employee works at the will of the employer. The employer can fire the employee at any time, for no reason at all. 👨‍💻 There doesn’t need to be “cause” to terminate the employment relationship. However, that does NOT mean that the employee cannot collect unemployment. 💸 If the employee is terminated without just cause, the employee may be entitled to unemployment compensation. The employee may also have a claim against the employer for wrongful discharge under certain circumstances. For instance, if the firing was motivated by a workers’ compensation claim or because the employee “blew the whistle” 😗 on an unlawful business practice, the employer might have to pay the employee damages. 💵

Can I recover my attorneys’ fees 💰if the other party breaks our contract? 📃
Typical lawyer 👨‍💼 answer: it depends.

Generally, courts in America 🇺🇸 rule that each party pays for his own costs. 💵 In other words, the default is that you do NOT get your attorneys’ fees back even if you win. 👩🏽‍⚖️

Some contracts 📜contain a “fee shifting provision” that says if there is a dispute, the winning party can also collect his or her attorneys’ fees. ⚖️

Bottom line: if you want to increase the chance of getting your attorneys’ fees if the other party breaks the contract, 📑 have a lawyer write your contract and mention that it is important to you. ‼️

💀 What if I die with no will? 📜

The law dictates who will get your stuff. 👨‍⚖️ There is a “statute of descent and distribution.” ⚖️ It lists your next of kin in a predetermined order of priority based on blood relationships. 👨‍👩‍👧‍👦 The law does not care that your brother is crazy or that you haven’t spoken to your mother in 15 years. 😳 Even if the right people end up with your stuff, your beneficiaries will have to go through probate court to prove what is rightfully theirs.
👩🏽‍⚖️ Probate court takes time and costs money. (Best to plan to avoid it!) 💵 The average estate takes about a year to settle. ⏱️ And if you have children, a judge will decide who takes them.😱

❗️BOTTOM LINE: you need a will and a plan. Even if you have “nothing,” you should have a basic will and estate plan. ❗️

I’m Adam Todd. I’m an attorney and A Todd Law LLC is my law firm. I focus on business and real estate matters, but can help you with a wide variety of legal ⚖️ issues.

I am married to my high school sweetheart, Jennifer, and we have four kids. 👩‍👩‍👦‍👦 My two daughters are in college and my two sons keep us busy at home.

When not working, I get into all kinds of things. I sing, play piano and guitar. I’m outdoors as much as possible running, kayaking, skiing, hiking and bird watching. I love fitness. I’m training for my next OCR and you’ll find me in the gym most mornings. 🏋️‍♀️

Shameful admissions: I might be addicted to shopping on Temu, I “collect” watches, and I have way too many clothes. 🧥👞 I told my kids I wanted to look like a drippy TikTok influencer when asked about Christmas presents. 🤫

Lately, I’ve been learning Spanish, trying to read a fun book each month, and studying the Bible. 📚
