On 12/23/24, the Fifth Circuit lifted a nationwide preliminary injunction that had temporarily halted enforcement of the Corporate Transparency Act (CTA). The Fifth Circuit determined that the government made a strong showing in its defense of the CTA’s constitutionality and that a nationwide injunction was not appropriate. As a result of the stay, CTA reporting obligations and enforcement are again back in effect. Reporting companies formed before 01/01/24, have until January 13, 2025, to file their initial beneficial ownership information (BOI) reports. For more info, visit:

⚠️ The U.S. District Court for the Eastern District of Texas granted a nationwide preliminary injunction temporarily halting enforcement of the Corporate Transparency Act. With less than a month to go before the 01/01/25 compliance deadline for entities formed prior to 2024, this ruling blocks the U.S. Dept. of Treasury from enforcing the requirements of the Beneficial Ownership Information Reporting Rule issued by the Financial Crimes Enforcement Network (FinCEN). While businesses are temporarily relieved of compliance obligations, the final resolution of the matter remains uncertain. Although no announcement has been made as of the time, the U.S. Dept. of Justice is likely to appeal the preliminary injunction to the U.S. Court of Appeals for the Fifth Circuit. Companies should stay informed & be prepared for potential changes to enforcement. ⚠️ |
