On Friday, November 15, 2024, a federal judge in the Eastern District of Texas issued an Order that vacates certain rules implemented by the U.S. Department of Labor. These rules increased the minimum salary requirement for certain employees to be exempt from overtime. According to the Court’s Order, future increases set for January 1, 2025, and thereafter are no longer in effect. The increase already put into effect on July 1, 2024, has also been set aside.

Based on this ruling, the current minimum salary requirement for executive, professional, or administrative personnel to be exempt from minimum wage and overtime requirements has returned to $684 per week ($35,568 per year). However, this is a fluid situation that is subject to appeal.

The federal Fair Labor Standards Act (“FLSA”) governs overtime and minimum wage requirements for most employers. The FLSA requires employers to pay overtime at one and one-half times the regular rate of pay for hours worked over forty (40) hours in a workweek. Some employees may be exempt from the overtime requirement. To be exempt, employees must be paid at least the required minimum salary and perform certain duties that allow the employees to fit into one of the “white collar” exemptions for
executive, professional, or administrative personnel.

On January 1, 2025, the minimum required salary will increase again to $58,656 ($1,128 per week).

On January 1, 2025, the minimum required earnings for another
exemption (that for highly paid employees) will rise to $151,164 per year, with at least $1,128 per week paid on a salary basis.

Please be advised that on August 20, 2024, the U.S. District Court for the Northern District of Texas blocked the Federal Trade Commission’s (“FTC”) Rule which would have banned most non-compete agreements across the country. Therefore, at the moment, businesses can continue utilizing non-compete agreements and are not required to notify employees under such agreements that they will be unenforceable. Of course, this may change as litigation over the FTC’s Rule continues.

On September 4, 2024, the Federal Trade Commission’s (“FTC”) final rule regarding non-compete agreements will become effective unless stayed by pending litigation. While it is possible a nationwide injunction could be implemented by a court prior to the effective date, no such action has yet occurred. Therefore, employers who have non-compete agreements or covenants with employees (and other individuals) need to prepare to comply with this rule.

Simply put, the FTC’s non-compete rule:

1) Bans essentially all new non-compete agreements;
2) Renders existing non-compete agreements with employees following the separation of their employment unenforceable unless the employee meets the definition of a “senior executive;” and
3) Requires employers to notify effected employees prior to the effective date of the FTC’s rule.

Such requirements are placed on all employers who fall under the FTC’s jurisdiction which generally only exempts certain banks, savings and loan institutions, non-profits, and common carriers. Moreover, a “senior executive" is only exempt from the FTC’s rule if prior to the effective date they earned at least One Hundred Fifty-One Thousand One Hundred Sixty-Four Dollars ($151,164) in total compensation in the preceding year (or prorated for a partial year) and held a “policy-making position.”

Very importantly, covered employers with effected employees must provide those employees with clear and conspicuous written notice that their non-compete agreements will not, and cannot, be enforced. Failure to do so may result in covered employers being subject to penalties, injunctive relief, and other damages.

We strongly recommend you prepare for compliance with the FTC’s non-compete rule. This letter is intended for informational purposes only and is not legal advice.
