A cost-plus contract pays the contractor's costs plus a fee and has no built-in ceiling. Overruns and rework are costs, and the fee is charged on them. A Guaranteed Maximum Price, a not-to-exceed clause and an audit right are what put a number in it. A draw schedule tied to dates pays the contractor on the calendar; one tied to milestones pays for work that exists. Money paid ahead of the work is the contractor's working capital rather than the owner's leverage, and if the contractor abandons the job it is recoverable only by suit. The deadlines in Florida's Construction Lien Law - the Notice to Owner, the Claim of Lien, the year to enforce it, the life of the Notice of Commencement - run on the statute's calendar, not the job's. A contractual time extension for weather does not extend them. An action founded on the design, planning or construction of an improvement must be brought within 4 years of the earliest of the temporary certificate of occupancy, certificate of occupancy, certificate of completion, or abandonment; a latent defect runs from discovery. In every case the action is barred 7 years after that same date. When a contractor abandons a job, the owner's remedy runs through the contract. A contract with no start date, no completion date, no definition of abandonment and no termination-for-cause clause leaves the owner little to enforce, and a deposit is recoverable only against a contractor who still has assets. A Notice to Owner mailed within 40 days of first furnishing is effective on mailing. Mailed after the 40th day, it is effective only on delivery, and the 45-day deadline then depends on when it actually arrives. The 90 days to record a Claim of Lien run from the last day of actual furnishing. Punch-list work is a fact-dependent grey zone that may not qualify as final furnishing. Be conservative and record earlier rather than later. The Notice of Commencement is the owner's document and goes out to the public record. The Notice to Owner is the subcontractor's or supplier's and goes to the owner, generally within 45 days of first furnishing. A recorded Notice of Commencement does not preserve anyone's lien rights; the Notice to Owner does. On most permitted jobs above the statutory threshold, the building department will not release the permit for inspection until a recorded copy of the Notice of Commencement is filed with it. That is the practical enforcement mechanism. A Notice of Commencement must be signed by the owner and notarized, recorded in the county's official records, and a certified copy posted at the job site. All three. A notice that was recorded but never posted, or filled out and never recorded, does not do the work it exists to do.
