UPDATE: The 5th Circuit issued an order vacating their previous order and reinstating the injunction. All CTA reporting requirements are now on hold. If you have any questions, please feel free to contact our Beverly office for advice.

On December 3, 2024, in Texas Top Cop Shop, Inc., et al. v. Merrick Garland, Attorney General of the United States, et al., Judge Amos Mazzant of the United States District Court (Eastern District of Texas/Sherman Division) issued a preliminary nationwide injunction barring the enforcement of the Corporate Transparency Act (CTA).

However, on December 23, 2024, the Fifth Circuit Court of Appeals stayed that injunction. This means the Financial Crimes Enforcement Network of the U.S. Department of Treasury (FinCEN) may again enforce the CTA.

Entities that were required to report under the CTA’s reporting obligations are once again required to report or be subject to serious fines and penalties. FinCEN has extended the deadline to file initial BOI reports for entities created prior to January 1, 2024 until January 13, 2025.
