⏳ How long do you actually have to sue for breach of contract?

Shorter than most business owners assume.

Every state sets a deadline for filing a breach-of-contract lawsuit. Miss it, and the case is usually over before a judge ever hears the facts. Most states allow three to six years for written contracts. Oral agreements often carry far less time.

Here is the part that catches people: the clock typically starts on the day the breach happens. It does not start when you finally decide to take action.

Certain situations can pause the deadline, including fraud and deliberate concealment. However, those exceptions are narrow, and they are decided on the specific facts.

Our latest article walks through when the clock starts, what can pause it, and what happens if the deadline passes. It also covers partnership, shareholder, and non-compete disputes, where timing questions get complicated quickly.

If your business is dealing with a contract dispute, RichardsonClement, P.C., is prepared to help.

Who owns the logo, the software, or the content your business paid to create?

The answer is not always the business. Copyright belongs to the creator by default, and an independent contractor keeps those rights unless a written agreement transfers them. Payment alone does not do it.

The same issue reaches business partners. When two people jointly develop a brand, a product, or a proprietary process, each may own the full copyright. Neither one can move forward cleanly without the other. When the partnership ends, that arrangement can stall the entire business.

Our latest article explains how copyright ownership is established, what work made for hire actually covers, and why these disputes so often become business litigation matters.

RichardsonClement, P.C., is prepared to review your position and explain your options.

Does your business have a lawsuit on the horizon? The impact reaches further than the courtroom.

Long before a case reaches trial, it can affect your relationships with lenders and investors. Loan covenants may require you to report material litigation, and a missed deadline can trigger a default all on its own.

The good news: companies that communicate clearly and plan early protect their access to capital. Our newest article explains how litigation affects financing, what lenders and investors look for, and why early strategy matters.

When business partners can't agree β€” and one of them can't simply walk away β€” what happens next?

In closely held companies, there's no public market for shares. A minority owner who's been frozen out, denied distributions, or excluded from management often has no way out without legal help.

Legal statutes provide real protections in these situations. But most business owners don't know what they are until they're already in conflict.

We put together a plain-language guide on shareholder disputes in closely held businesses β€” what causes them, what the law says, and what options owners have on both sides of the table.

If you or someone you know is dealing with a business partner dispute, it's worth a read.

Have you ever wondered what happens when business partners simply cannot work together anymore? πŸ€βš–οΈ
It is called a business divorce β€” and it is one of the most serious legal situations a business owner can face. When co-owners disagree on management, finances, or the future of the company, the entire business can stall while the conflict goes unresolved.
The good news? There are legal paths forward β€” whether that means a negotiated buyout, a court-ordered remedy, or a structured settlement that allows the business to continue under new ownership. The key is knowing your rights and engaging the right counsel before the situation gets worse.
RichardsonClement, P.C. has put together a thorough guide that explains exactly how a business divorce works, what Alabama law says about it, and what business owners should expect from the process.

Is your business partnership falling apart? πŸ€πŸ’”
When co-owners cannot agree on how to run a company β€” or when trust completely breaks down β€” the legal process of separating those interests is called a business divorce. And it is a lot more complex than most people realize.
Here is what business owners need to know:
βœ… It is not just shutting the business down. A court may order a buyout instead of dissolution.
βœ… The documents you signed at startup matter more than you think.
βœ… Business valuation is often the most fiercely contested part of the whole process.
βœ… The earlier you talk to an attorney, the more options you have.
RichardsonClement, P.C. has deep experience guiding business owners through these high-stakes disputes β€” protecting their ownership interests and the value of what they have built.
If you are in the middle of a co-ownership breakdown, do not wait until it becomes a crisis.

Is your business partnership falling apart? You're not alone β€” and you have legal options.

Removing a business partner in Alabama depends on your entity type, your governing documents, and the specific circumstances involved. Alabama law doesn't simply allow members or shareholders to vote someone out. But that doesn't mean you're stuck.

Our latest blog post clearly breaks down the legal framework of what your operating agreement or bylaws can (and can't) do to fiduciary duty claims, judicial dissolution, and how deadlock can actually give you negotiating power.

Whether you're dealing with a partner who's stopped pulling their weight, misappropriating funds, or someone you simply can't move forward with, understanding your legal position before you act is critical.

Did you know the most important parts of a contract are usually the ones nobody reads?

Clauses covering liability limits, indemnification, dispute resolution, and termination often appear toward the end of an agreement β€” right where attention fades. But those are the provisions that can make or break a business when something goes wrong.

Our latest blog breaks down the key contract clauses every business owner should understand before they sign anything significant. Whether you're negotiating a vendor deal, a partnership, or a major acquisition, this is worth a few minutes of your time.

Is someone using a lawsuit to pressure your business into settling?

It happens more often than people think. Some plaintiffs don't file a lawsuit to win β€” they file it to create stress, drain resources, and make a quick payout feel easier than a long fight.

If you're a business owner facing this kind of pressure, here's what to know: reacting quickly can actually make things worse. A rushed settlement can open the door to future claims and signal to others that your business will fold under pressure.

The right move is calm, strategic action β€” understanding the real legal exposure, building a strong defense, and making decisions based on long-term business goals rather than short-term fear.

Richardson handles exactly these kinds of high-stakes commercial disputes. We've seen how businesses that respond methodically often regain leverage quickly.
